The 10-K won't justfy the 144X multiple

I don't know what you're expecting the the 10-K, but in the 8-K filed at the end of January, CANV provided an EBITA estimate for FY2014 of less than $600K.

With at least 33.4M outstanding shares, that puts EPS at approximately $0.018, which means that at $2.60, CANV is selling at a multiple of 144 to 2014 earnings.

IMO, the forecasts provided in 8-K for 2015 and beyond are fanciful, and of course, if the offering is successful, then CANV will have more than 45M outstanding shares.
