Short version in the 2014 (Annual) 10K/A filing, pg 7, "Agreements with Dr. Denner and Sarissa". It references a more complete document, the Denner contract.

I haven't analyzed it all yet. It's presented as a concession to Denner but I it could be possible the ninth was an assist to the board to keep Denner in the minority.

Today's interesting DEFA14A is clearly Ariad mgmt. portraying Denner's 3rd nomination as a replacement for Schlesinger. A ninth board member is not mentioned as a consideration.
