to file an amendment to our Articles of Incorporation (the "Amendment") to

(i) change the name of the Corporation
to Star Century Pandaho, Inc.

(ii) effect a reverse stock split
of all the Company’s outstanding Common Stock
at a ratio of one-for-five thousand
during the six month period following the date
of the Special Meeting of Shareholders
