Subject: Smartmetric

Herewith an update from conversation I had with John last Thursday29th July.

As you have probably gathered both Peter and John have been anxiously waiting for the URL Number and getting somewhat frustrated with it not coming down.

The reason is this: (I am however not giving information which I cannot as you know John cannot give me any information due to the confidentiality agreement which has been signed) However I am allowed to give it to you
as John feels we should know how the delay has happened and both John and Peter have been very annoyed at not having been informed earlier..

By now you would all know how difficult it for any Company to get a listing on the NASDAQ. You would have only had to read an article last weekend in the Financial Weekend Review 24 -25 July written by Rachel Lebihan "Security is a hard nut to crack"where they talked about Australian Companies wanting to get into "BIOMETRICS" and the difficulty they are having. In other words you would have had to be working on any biometric system for some years to have any show at all and Colin has been the States now for over 6 years.

The Security and Exchange Commission in the States came back and wanted the signed document from ISIS. This is the major Company who are doing heaps of Government Contracts and the deal with this group is the one which placed them into a "Revenue Company"! They had in place a "Letter of Intent" from ISIS which is "a promise to fulfil the agreement". However the SES would not accept this unless the contract was actually SIGNED by the parties concerned That is how hard they are on Companies now wanting to list.

Colin subsequently then had to run around to organise the signing of the agreement - which has now been done and all has gone back to the SES Office - so there we are back on track again. The URL Number is coming down on Wednesday _ (we Hope). John told Colin I would be ringing him he it has not been received. I told John I would be going over THERE! As you would gather anything I did would not make any difference at all!!!

I rang John back and asked him is the ISIS contract the "Billion Dollar Deal" he is talking about and having tobe so secretive. He just "HMMMMED" several times which means "YES"!!!!

I asked him about A T & T and Perot Systems and he said that they are the retail outlets. ISIS is our main contact and as I mentioned earlier put us in a Revenue situation. All certificates which anybody has been waiting on will be out as I understand they have come over from the States.

How will you track everything with the URL Number?.

You will I understand just go into iton the NET and it will take you through to where they are up to in the SES right up the listing date on the NASDAQ.

Hope this information gives you all peace of mind. Don't ask me about anything else as quite frankly I do not know.


I omitted to send this off to you with the last email

We will be given an eletronic certificate number which we trade from. They have no CHESS trades over in the USA as we do here. That's how behind they are.

Say if listing is in one month's time they will let all the instututions know and some have already placed orders and they are in place. Whether they all take them up - who knows after the previous comment about putting their money in the bank.

However after the elections - who knows

Thursday 5th August

John has just rung me (he is down at the some exhibition at Darling Harbour re technology) says no one is even near SMARTMETRIC.

SEC have now requested that the Constitution Papers for the Australian Company - Smarmetric Pty Ltd be sent to them

John has sent these over. the Security and Exchange Commission.

As pointed out previously they are so careful after the ENRON scandal. I personally was talking to an Accountant last night who said he has only ever been involved in doing one NASDAQ LISTING and he SAID never AGAIN.

Believe me it is not easy to get a NASDAQ listing otherwise everybody would be dong it!


As a result still waiting for the URL number if it comes over at the weekend I will email to you.
