I was wondering if anyone knew the rules associated with a publicly traded company selling shares into the market to raise money?

Are they allowed to simply sell like any other individual would? Or do they need to go through a 3rd party that has no insider knowledge?

It doesn't seem fair for a company to be able to openly sell into the market, especially with the potential for non-publicly disclosed information to come into play.

Any insight on this would be greatly appreciated. TIA
