The matter relates to the approval to authorize an increase in the number of authorized shares of the Company's Common Stock
from 500,000,000 to 5,000,000,000 shares of common stock and grant the Board the discretionary authority to reverse split the common stock
at a ratio of up to 1:200 at any time prior to December 31, 2015.
