ATM, means "at the market" means the share are not discounted, per se, as the price would be if restricted shares were issued. The problem with this, ( and I could be wrong), is that it gives an investor the opportunity to buy very large amounts of shares not directly on the open market, thereby, the investor does not drive the price up as would occur if buying those large amounts on the open market. jmho
