Brent Willis has served as the Chairman of the Board of Directors of the Company since the Company became a public enterprise in June 2013. He is also an owner of a group of Private Equity backed firms and has operated as Chairman and Chief Executive Officer of Liberty Ammunition, a leading lead-free ammunition company, Throwdown Industries, a leading mixed martial arts company, and multiple other enterprises. From 2006 through 2008 served as the CEO for Cott Corporation, the world’s largest retailer brand beverage company, and from 2002 through 2006 was the Global CCO, President, and on the Board of Management for InBev and Board of Directors for AmBev (NYSE: INB.BR, ABV) and developed and implemented the strategy that led to the creation of the world’s largest beer company. From 1996 through 2001, Brent was a President in Latin America for the Coca-Cola Company. From 1987 through 1996, Brent worked for Kraft Foods, Inc., where he managed a number of Kraft’s leading brands, developed their Category Management system in the US, led numerous acquisitions and joint ventures in Japan, Korea, Indonesia and others, and launched the Kraft Brand in China. Mr. Willis began his career as a Second Lieutenant in the United States Army in 1982. He served with distinction and was honorably discharged with the rank of Captain. He received his BSc. Degree in Engineering from the US Military Academy at West Point and an MBA Degree from the University of Chicago. He has served on the Boards of various public, private and not-for-profit firms and is currently the Chairman of the Board of Throwdown Industries.

Bill Fields has served as a member of the Board of Directors of the Company since December 2013. Mr. Fields is currently Chairman of Fields Texas Limited LLC and Four Corners Sourcing International. In addition, Mr. Fields is also a Managing Partner of Strategic Brands LLC. Previously, Mr. Fields served as Chairman and Chief Executive Officer of Factory 2-U Stores, Inc. from 2002 to 2003, President and Chief Executive Officer of Hudson’s Bay Company from 1997 to 1999 and as Chairman and Chief Executive Officer of Blockbuster Entertainment Group, a division of Viacom, Inc., from 1996 to 1997. Mr. Fields has also held numerous positions with Wal-Mart Stores, Inc., which he joined in 1971. He left Wal-Mart in March 1996 as President and Chief Executive Officer of Wal-Mart Stores Division, and Executive Vice President of Wal-Mart Stores, Inc. Mr. Fields has also served as a director of the following companies during the past five years: Lexmark International, Graphic Packaging Corporation from 2005 to 2008, and Sharper Image Corporation from 2006 to 2008.

Charles L. Jarvie has served as a member of the Board of Directors of the Company since August 2014. For approximately 20 years, Mr. Jarvie held various positions with Procter and Gamble, including a stint as Corporate Vice President in charge of food and industrial businesses from 1976 to 1980 From 1980 to 1983 Mr. Jarvie served as the President of the Dr. Pepper Co., where he acquired the Canada Dry Corp. and Welch’s Beverages). Mr. Jarvie thereafter served as President of Marketing for Fidelity Investments in Boston from 1983 to 1984, as CEO of Schenley Industries from 1984 to 1988, among other corporate leadership roles. Mr. Jarvie obtained a BS from Cornell University in 1958, and an MBA from Cornell University

Craig Colmar has served as a member of the Board of Directors of the Company since August 2014. Mr. Colmar has practiced law with Johnson and Colmar, a firm focusing on business, corporate finance and mergers and acquisitions, since 1980. At Johnson and Colmar, he has conducted over one hundred mergers and acquisitions ranging in size from several million dollars to over four hundred million dollars, as well as numerous private and public debt and equity financings. In 1998, Mr. Colmar served as a member of the group responsible for the creation and public financing of Quanta Services, Inc., which is listed on the New York Stock Exchange; in 2006 Mr. Colmar was co-founder and member of the group responsible for the creation and public offering of Digital Music Group, Inc., which, before its merger with Orchard Enterprises, was listed on NASDAQ; in 2007, Mr. Colmar was co-founder and member of the group responsible for the creation and public offering of Trans-India Acquisition Corporation, a special purpose acquisition company which was listed on the American Stock Exchange and of which he served as an officer and director. Mr. Colmar received a JD from Northwestern University School of Law in 1977 and a BA in economics from Northwestern University in 1974.

David Karp has served as a member of the Board of Directors of the Company since July 2014. Mr. Karp is a corporate finance professional with over 20 years of financial and operating experience in a variety of industries. Since 2006 Mr. Carp has been the Chief Financial Officer, Treasurer & Corporate Secretary of Counterpath Corporation, a NASDAQ and TSX listed Software Company with over 500 enterprise clients worldwide. In this role he has led multiple acquisitions, guided the company to profitability, and was instrumental in the listing process to NASDAQ and TSX. From 2004 to 2006 he was the CFO and Corporate Secretary of Chemokine Therapeutics Corporation, a TSX and US listed biotech firm, and from 2002 to 2004 he was the CFO of a Neuro Discovery Inc, a Canadian Public Company. From 1997 through 2001 he was the Vice-President Investment Banking with BMO Capital Markets where he led a number of large successful initial public offerings and advised on multiple merger and acquisition transactions. Mr. Karp holds a Master of Business Administration degree from the University of Western Ontario and a Bachelor of Science in Mechanical Engineering form the University of Waterloo in Canada.

Howard Lefkowitz has served as a member of the Board of Directors of the Company since August 2014. From 2010 until 2012 he was the Chief Commercial Officer for Row 44, a multi-channel media company, where he was responsible for, among other things, the television and movie studio product for IPTV and pay-per-view movies and television delivered via satellite to planes in-flight for passenger use on their own personal devices. From 2001 until 2010, Mr. Lefkowitz served as CEO of Vegas.com where he re-engineered a small website into one receiving more than 2.5 million visitors each month, making it the most viewed city web sites in the world. From 1997 to 2001, Mr. Lefkowitz served as Vice President of Business Development and Internet Marketing of EarthLink, an IT services provider. From 1989 to 1991, Mr. Lefkowitz was the President of the Home Shopping Network telemedia company.

James Geiskopf has served as a member of the Board of Directors since the Company became a public enterprise in June 2013. Mr. Geiskopf has 32 years of experience leading companies in the services industry. From 1975 to 1986, Mr. Geiskopf was the Chief Financial Officer of Budget Rent a Car of Fairfield California and from 1986 to 2007 he was the President and Chief Executive Officer. In 2007, Mr. Geiskopf sold the franchise and its four locations. Mr. Geiskopf served on the Board of Directors of Suisun Valley Bank from 1986 to 1993. Mr. Geiskopf also served on the Board of Directors of Napa Valley Bancorp from 1991 to 1993. The bank holding company was sold in 1993. Mr. Geiskopf was the President and Director of the Resource Group from 2007 to 2009, a company quoted on the OTC-BB. Mr. Geiskopf was President and a Director of SearchByHeadlines.com from 2011-2012, a company quoted on the OTC-BB, and currently sits on the Board of Global Systems Design, also quoted on the OTC-BB.

Marc Hardgrove is the Co-founder of Victory Electronic Cigarettes and has served on the Board of Directors since inception. He is a highly successful entrepreneur with ownership of several companies and depth of expertise in Internet commerce. Mr. Hardgrove co-founded Jumpline.com web hosting in 1997 and served as President for nine years. Under Marc’s leadership, Jumpline.com grew from a start-up to be one of the largest web hosting companies in the US. Jumpline.com has customers in 97 countries and hosts over 150,000 websites around the world. Mr. Hardgrove is a major equity holder of Jumpline.com and currently sits on the Board of Directors for the firm. In 2006, Mr. Hardgrove Co-Founded a web 2.0 business called Next Net Media. Next Net Media is one of the premier search engine optimization firms in the US that manages over 5,000 small business’s organic search results. Mr. Hardgrove sits on the Next Net Media Board of Directors and owns a significant equity stake in the firm. Mr. Hardgrove is a graduate of The Ohio State University with a double major in Business Marketing and Finance.

Tim McClure has served as a member of the Board of Directors of the Company since August 2014. Prior to serving as a Director of the Company, Mr. McClure co-founded GSD&M, one of America’s most successful advertising agencies, in 1971. GSD&M’s blue chip roster includes Southwest Airlines, AT&T, PGA TOUR, Goodyear, and the United States Air Force, among other national and global brands. Mr. McClure served as Executive Creative Director for 30 years, authored Don’t Mess With Texas, the most successful antilitter campaign in history, and remains in residence at GSD&M in an advisory capacity. Mr. McClure is the screenwriter and executive producer of Texas: The Big Picture, the first IMAX movie about the Lone Star State. Mr. McClure is founder and CEO of Mythos Legends, a global Brand Invention, Evolution and Legacy Company he launched in 2001; he is also founder and CEO of MindMeld Alliance, a virtual alliance of innovators and collaborators he launched in 2008 that provides 21st Century solutions to 21st Century marketing challenges. Mr. McClure has a BJ in Communication from the University of Texas at Austin, and currently chairs the Advisory Board Marketing Committee of the Moody College of Communication.
