The way I see it a legal argument could be made that the record date would need to be the date of the transaction, when the shares were allotted to the existing shareholders of HTSC as a matter of equity since we common shareholders held the shares in anticipation of events that will now take place with BCKE as the vehicle. The announcement of the dividend and when it will be paid is likely dependent on details being worked out regarding registration of the shares.
