On October 27, 2014, AVT, Inc. (the "Company"), after consultation with the Company's independent registered public accounting firm, concluded that the previously issued audited financial statements as of and for the fiscal year ended December 31, 2011, as presented in the Company's Annual Report and Amended Annual Report on Form 10-K filed with the Securities and Exchange Commission for the same year (collectively, the "December 31, 2011 10-K"), should no longer be relied upon. The Company’s restated financial statements as of and for the fiscal year ended December 31, 2011, will be filed with its amended Form 10-K for the fiscal year ended December 31, 2012.
