OVRL Q1 2015 Comments

Commenting on the recent product highlights mentioned in the Q1 2015 report we can see a lot of evidence that Overland has already started to significantly adjust its own product portfolio to integrate into Sphere 3D’s overall strategy for the Cloud, Hyper-converged solutions and Software Defined Data Centres!

Recent Product Highlights and their expected Initial Sales:
As we highlighted in our October 14, 2014 business update, we are continuing to innovate, strengthen and broaden our product portfolio
with the following products:

• V3? hyper-converged appliances designed to address the rapidly growing virtualization and cloud markets.
Launched August 19th and consequently first sales should be booked in OVRL’s Q2 2015
• SnapServer XSD 40?, powered by the new GuardianOS® 7.6 software, is the simplest and most versatile NAS and iSCSI SAN storage system available for today’s business needs from virtualized server and Microsoft Exchange environments, to backup and storage consolidation.
Launched August 26th. This is the 2nd product to include BitTorrent Sync integration. Note that the 1st namely SnapServer DX With Embedded BitTorrent Sync, delivering Integrated, Secure Private Cloud Mobility Solution was launched at the end of Q4 2014 and was recently successfully promoted in the Middle East, Asia and Oceania. Obviously sales should ramp up in OVRL’s Q2 2015
• VMware-certified SnapScale® clustered data storage featuring RAINcloud® OS 4.1, the next major software release with software-defined storage services for virtual infrastructures.
Launched November 4th , first sales to be booked in OVRL’s Q2 2015.
• RDX® integration with SnapServer provides small-to-medium business customers with an affordable, integrated solution for backup and data exchange.
Launched August 28th , first sales to be booked in OVRL’s Q2 2015.
• NEO® XL-Series automated tape libraries, combining flexibility, density, high-performance and best value for backup, archive and disaster recovery.
Launched October 15th , first sales to be booked in OVRL’s Q2 2015

Global Roll Out Strategy:

Further, it is safe to conclude that Overland is well on track executing a joint strategy with Sphere 3D that was discussed in the CC of Q4 2014 . Below are various confirmations in that regard, all excerpts from the report:

Through our existing partnership with Sphere 3D, we recently launched the V3 hyper-converged virtual desktop appliance into a targeted segment of our global reseller partners. This is phase one of our global rollout plan.
These integrated and converged VDI offerings will help end users realize unmatched simplicity and total cost of ownership by alleviating the need and complexity of physical desktop management by using Sphere 3D’s desktop management software called Desktop Cloud Orchestrator, or DCO.
Our channel partners are excited about the breakthrough value proposition, and we are actively introducing these products across the globe. The VDI market is estimated to be over $5 billion and growing an estimated 20% annually, which we believe provides a significant growth opportunity with our highly differentiated VDI offering and our global reseller channel.
V3 is the first of a series of planned turnkey solutions that we are developing in combination with Sphere 3D that we will roll out through the remainder of the year. The introduction of the Hypervisor, which is the core server virtualization, as you know it today, paved the way for the emergence of the cloud.
Fifteen years later, that technology is near its maturity, and the market is demanding additional functionality, better performance, greater security, and simplicity. We believe that Glassware 2.0 can play a significant role in ushering in the next generation of cloud technologies, technologies that will foster the expansion of the cloud and the decentralization of computing resources through distributed architectures.
In keeping with that strategy, we intend to expand the availability of Sphere 3D Glassware technology to our partners in the coming months. The Glassware technology, having been deployed in multiple customer environments, has already demonstrated success in solving customer needs in key vertical markets such as healthcare and education, as well as in the cloud.

These early proof points are already generating strong interest in the education and healthcare vertical markets, as well as several other vertical markets such as government and financial services.
We have not seen commercially viable equivalent solutions in the market, and believe we are well-positioned to roll out this technology into numerous vertical markets over the coming months and years. The combination of Sphere 3D and Overland Storage Technology resonates with customers and is rapidly putting is in a position to become leaders in the fast-growing virtualization, cloud, enterprise mobility, and data management markets.


To reiterate, our strategy has three major elements: increase our scale, strengthen and broaden our core product portfolio, and invest in new and innovative next-generation technologies that will address the fastest-growing segments of the technology industry.
We are beginning to see results of our strategy as we evolve into an industry leader that delivers breakthrough data protection, virtualization, enterprise mobility, and cloud offerings.

Our overarching strategy for growth is to lead the industry in addressing end user needs for mobile-ready cloud and virtualized infrastructures. Our vision is to provide an integrated enterprise software suite to help our customers deliver, protect, and manage their data, applications, desktops, and mobile devices, enabling them to securely access information anywhere, anytime, on any device across a global distributed IT infrastructure.

The industry classifies this as software defined IT solutions, or as software defined data centers. Industry surveys and research analysts continue to point to infrastructure management, virtualization complexity, secure mobility, and data growth as the most acute pain points for IT administrators.
In recent conversations with IDC, they confirm that our current strategy aligns well with what they refer to as a third IT platform, which is an integration of mobility, cloud, and big data. Our solutions are helping customers solve many of the infrastructure management, virtualization complexity, mobile security, and performance weaknesses caused by limitations of their current solutions.
For example, our geographically distributed cluster scale out data storage solutions are uniquely differentiated, particularly for cloud and distributed enterprise environments. Coupled with Sphere 3D’s unique technology for desktop and application virtualization environments, this creates a strong foundation for the company to emerge as a new, contemporary challenger in the fast-growing virtualization, mobile, cloud, and data storage markets.

Last but not least on the financials:

Management expects the financial results to ramp up substantially in the following quarters:

“The Tandberg integration plan will be completed prior to the closing of the merger agreement with Sphere 3D and is expected to allow for a profitable run-rate exiting calendar year 2014”
