You are half correct. They cannot buy, sell, trade, increase or decrease shares unless they were to become reporting again and file the necessary paperwork. None of those previously mentioned transactions could be legally done prior to thereof.

The only thing that they could do is legally sell the shell for an RM and then file the paperwork informing the legal govt entities and authorities that have oversight of those transactions whether it be OTC, SEC, and FINRA to approve the transaction and commence with the paperwork for name change, RM and ticker change.
