2.A) IF R/S, say 1:250, then the NUMBERS of the pref. shares is reduced,

Wrong ! Right in the 8k the company stated there is NO reduction in the preferred shares. Frank gets to keep all 50 million.

"Every 250 shares of common stock issued and outstanding will be combined, converted and changed into one share of common stock; provided, however, there will be no change in (i) the par value of any capital stock, (ii) the number of shares of authorized preferred stock, or (iii) the number of issued and outstanding shares of preferred stock. "

D) Preferred Stock

On June 21, 2013 (“Grant Date”), the Company granted One hundred million (100,000,000) shares of Series A Preferred stock (the “Series A”), with a par value of $.001. Fifty million (50,000,000) of the Series A were issued to Frank Neukomm, its Chief Executive Officer, and Robert Farr, its Chief Operating Officer. The shares are convertible into common stock on a 1:1 basis and do not carry any dividend. On the Grant Date, the price of the company’s common stock was $.0031. As such, the Company recorded $310,000 of compensation expense under General and Administrative Expenses.

Conclusion-Scam at common shareholders expense.

If someone bought 250 shares at .01 that cost them 2.5 dollars after the split they will have 1 share worth 2.5 cents. or a loss of 99 percent.

If someone bought at .0001 then yes if the price holds at .025 they didn't lose yet. But that only matters if they bought at .0001. If they bought any higher they are losing money while the CEO gains.

Conclusion-Typical wash,rinse repeat penny scam.

Now Frank was issued 50 million shares of preferred which won't be split which is now worth 5,000 dollars after the split he will still have 50 million shares but now they will be worth 1,250,000 dollars if the price stays at .025.( .0001 x 250=.025 post split price)

Conclusion-SEC should investigate the CEO


And having a bid back post split isn't much comfort for those who lost 99 percent of the investment
