The state of Nevada does not recognize those as officer positions. However, Nevada provides a Company can create them specifically as officer positions in its articles for the for purposes including but not limited to indemnification.
As an example, many people think CEO and CFO is an officer, whereby certain states do not recognize them. A company can hire a CFO and not hire them as a Vice President, only to find that the CFO does not have authority to act as an officer of the Company. A Company in that instance can do a couple things, amend it articles if that state provides for it, to consider a CFO as an officer recognizable by the state, or also retain the CFO as a VP as well.
Corporate governance is fun, especially when in a hostile takeover or a law suit.
