Thinspace UK, VAEV Merger Sub merged with Thinspace UK and all of the issued and outstanding shares of Thinspace UK were exchanged
for 80,200,000 shares of common stock of the Company The transaction has been accounted for as a reverse acquisition of Vanity by
Thinspace UK but in substance as a capital transaction, rather than a business combination since Vanity had minimal operations and assets as
of the closing of the transaction."
