This was major legal issue NY Supreme Commercial division. So that Judge is expert on this legal issue. Corporate shield is complex legal issue. CT claimed Alpha Biologics was separate legal entity. Attorney for CT researched this legal point. We were dead. Judge ordered CT to pay all Alpha debts. Then we had to produce 2 years of bank records to show Viropro had no money so could not pay. The legal issue is matter of control. Viropro Inc has 100% shares of Alpha Biologics. Viropro has total control Alpha. CT could appoint Michelle Peake as CEO Alpha and 1 year later fire her as CEO (not a smart move). Not a close call. Viropro attorney did not even try to argue Viropro not responsible for Alpha legal debts as no legal basis for that argument. Ackerman law firm represents SH and now Viropro. In Jan 2014, Ackerman law firm demanded CT pay all Alpha bills etc.
