The sub was an LLC so no shares only interests...

From the filing it appears DNYS created a sub Dynasty Holdings, LLC to move all the Assets and yes Liabilities of Dynasty Limo into...Then they assigned/spun off/divested the entity to the Flemings its not hard to follow

Not all spin offs have to be public nor do the shareholders have to receive something in return...In fact in return for getting rid of the limos they received Kiosks...or the illusion of Kiosks....sorry hope whim and a prayer of Kiosks...
