Also, this SEC filing with the "Asset Purchase Agreement" in addendum states page 14:

All such Initial Shares shall contain an appropriate legend in accordance with the provisions of the Securities Act (Ontario) restricting the resale of the Initial Shares for a period of four (4) months plus one (1) day from the Closing Date, and any additional restrictions as may be required per applicable United States securities laws or otherwise (“Resale Restricted Period”).

This additional restriction wasn't mentioned by the scamologist...
