Merger/Acquisition
American Dynamic Resources, Inc. entered into a definitive agreement to acquire Worthington Energy, Inc.
(OTCPK:WGAS) from Asher Enterprises, Inc., La Jolla Cove Investors, Inc., Magna Group LLC and other
shareholders in a reverse merger transaction on March 12, 2014. Under the terms of agreement, Worthington
will issue 70 million common shares and will pay $0.13 million in cash. Charles Adams, President and Chief
Executive Officer of American Dynamic Resources will become President, Chief Operating Officer and Vice-
Chairman of Worthington.
