A change is capital structure is with the SOS of Nevada. The SEC has no jurisdiction over that.

Not to say that an action by the majority of the shareholders can be a fraudulent act, which would involve state regulators and eventually the DOJ. But not the SEC. I have seen issuers lie about control and file a written consent in lieu of a meeting of the shareholders to cause a corporate action. That changes everything.

MDNT is dealing with that. They were suspended because nobody knows who is running that scam.
