Debt Conversion Agreement with Daniel Grodnik

On August 8, 2014, Mass Hysteria Entertainment Company, Inc. (the “ Company ” ) entered into a debt conversion agreement with Daniel Grodnik ( “ Grodnik ” ) (the “ Debt Settlement Agreement ” ), sole member of the Company ’ s Board of Directors and the Company ’ s Chief Executive Officer, under which the Company agreed to convert liabilities of $371,428.50, representing a portion of Grodnik ’ s accrued salary reflected on the financial records of the Corporation, into shares of common stock of the Company, at a conversion price of $0.002 per share, for a total of 185,714,250 shares (the “ Shares). The Company relied upon the exemption from registration found in Section 4(a)(2) of the Securities Act of 1933 for the issuance of the Shares.

All those shares will be converted at $0.002 per share which is 6.67-bagger huge return from here or the daily high of 08/11/2014 (just three weeks ago)! Easy to hit 0.002 again with strong slapping at the asks or some good news... If he already converted then it explains why the huge volumes in the most recent days!


MHYS is hyper undervalued (just $17K MV at the bottom) now as a OTC Currently Reporting hidden gem which was never seen before! Hyper oversold (91.43% huge price decline from 0.0035 to 0.0003 within just five weeks) now! Nothing above the 0.0004 ask from the Level2!

We'll see last week's 0.0007 again with strong slapping at the asks since buying-at-the-bid only takes the price down further... MHYS was 0.002 just two weeks ago v.s. at the joke low 0.0004 now!

It just needs some strong slapping at the ask 0.0004 like we did on last Friday in order to see the most recent high 0.002 (which is 5-bagger return from here) again! The OS is still very low compared to the joke low MV and price --- one peer just hit 0.0015 two weeks ago with 383,692,111 shares OS!

MHYS: one sign the bottom may be near..........No volume today.......after dumping every single day since the Aug. 8th MHYS may finally be slowing down.........the selling was due to the CEO cashing in his grossly overpaid check.........$360k salary for a POS company.......now that's FUNNY!............but, no joke, the bounce is coming.......not exactly sure when, but I can tell you this looks like the set up phase........on POS bounce radar.........$$$

AUTHORIZED IS 2B....so even if you take a look at the entire month of aug not including the month of sept yesterday/today. over 1b has been sold

I doubt seriously many shares are left after today under .0005
