Subject: W+B Partners Update

Today SouthCorp Capital, a W+B Partners subsidiary, announced that it would offer a Series D Preferred Stock that would pay a 15% annual dividend to its shareholders. The idea behind the Series D Preferred Stock is to allow the Company to raise capital without needing to issue common stock.

The minimum investment will be $500 and the price per share will be $0.10 per share. The number of Series D Preferred Stock will be capped at 15,000,000. The Company will use the proceeds from the sale of the stock to purchase and renovate properties. This will allow the Company to grow without the needing to issue additional Common Stock.

Anyone that would be interested please let us know. We expect the paperwork to be ready in the next 2-3 weeks.

Dividend: The new class will be Series D Preferred Stock and will pay a 15% annual dividend. The dividend will be paid at a rate of 1.25% on the 15th of each month.

Redeemable: Shareholders will be able to redeem (have the Company buy back the shares) at any time. The shareholder will only be required to provide 60 days’ notice to the Company and return of the physical certificate with a medallion signature guarantee.

Tradability: If 40 or more shareholders purchase the Series D Preferred Stock, the Company will file with the SEC and FINRA to obtain a separate ticker symbol for the Series D Preferred Stock.

W+B Partners Update: We expect to provide an update tomorrow on the W+B Partners merger into a public company.
