TO APPROVE AN AMENDMENT TO THE COMPANY’S ARTICLES OF INCORPORATION TO EFFECTUATE A REVERSE STOCK SPLIT
On July 18, 2014, the Company’s Board of Directors unanimously adopted a resolution approving and recommending to the stockholders for their approval an amendment to the Company’s Articles of Incorporation to effectuate a reverse stock split of our issued and outstanding Common Stock in the ratio range of not less than one-for-100 and not more than one-for-600. Pursuant to the Reverse Stock Split, in lieu of issuing fractional shares, holders of the Company’s Common Stock otherwise entitled to a fractional share as a result of the Reverse Stock Split, will receive shares in an amount to be rounded up to the next whole number, with the exact ratio to be set within this range as determined by the Board of Directors, in its sole discretion.
On July 18, 2014, the Majority Stockholder approved and authorized the Reverse Stock Split.
The form of the amendment to the Company’s Articles of Incorporation to effect the Reverse Stock Split will be substantially as set forth on Appendix C (subject to any changes required by applicable law)."
