Series A Preferred Stock Designation below:
The authorized Series A Convertible Preferred Stock consists of 1,000,000 shares with $0.01 par value per shares. Subject to the rights of the holder of any shares of any series of Preferred Stock ranking prior and superior to the shares of Series A Convertible Preferred Stock with respect to dividends, the holders of shares of Series A Convertible Preferred Stock, in preference to the holders of Common Stock.
