Cel Sci Corporation (CVM)

Here is the link for guy whom i was referring to who had also organized merger/buyout (I haven't been able to get the to ticker and links for said companies yet):http://www.sec.gov/Archives/edgar/data/725363/000091228213000583/mmcap_sc13g-celsci.htm (he really caught my attention (when I first came on board here becuase his history and the fact he sold 10% of his shares the same day he bought)

Question: does a large shareholder have to file his ownerships changes more than 1% if it is becuase dilution or only if it's becuase of additional purchases or selling?
I've tried doing some searching, but I haven't found anything conclusive.
