You are partly right here. However, the one transaction they can make is a Liquidating Dividend as part of their winding up affairs. (Simple dd will show this is correct). In addition, the Liquidating Dividend may be paid by MSJ depending on how the APA (Asset Purchase Agreement) is structured.
