I have has several inquiries this morning regarding the subject Certificate filed early this month.

As you are aware, AVEW has several acquisitions in various stages of negotiations and we are preparing to close on one or more of the LOI's soon. Also, you are aware, AVEW had reached near the limit of its authorized shares.

Additional shares are needed for several purposes, being, (i) the above stated closings, (ii) additional shares to be available for our ongoing acquisition program, and (iii) to issue to Directors of AVEW who have made recent cash investments in the company.

All of the shares to be issued will bear the restrictive Rule 144 legend in compliance with The Securities Act of 1933 and all governing regulations.
