The quick summary: Shell cleaning.

I don't see anything negative in the 8-K.
Could be Esparza wants to clean up his newly acquired,
publicly traded company.

They are still using the "beautiful child" (Fairbairn) to do their filing , so there has not been a total split from the Canadian personnel.
