You must surely realize this deal will never happen. Anybody wealthy enough to do such a deal will have a financial adviser, lawyer and a CPA helping to guide their use of capital. This DEAL could never, ever pass the due diligence process that would be required by those advisers. It is NOT EVEN REMOTELY POSSIBLE.
