It is based upon yesterdays close minus an agreed upon discount percentage as a form of price protection. If they dont offer some form of discount from current market price there would be minimal interest. Some formulas use 10 or 20 trading days and the three lowest closing prices over those periods minus discount.

You are not going to see an offering above market price here, the $4 is more than fair and is from a position of strength when compared to past offerings.
