I thought at least 75% of the voting power of the Outstanding shares would have been required for the Approval of Certain Business Combintations.

I thought the proposed share exchange agreement 8-K filing stated: "The current control person is Shaun Irvine, who holds all of the outstanding Series D Convertible Preferred Stock, giving him the right to convert into, and in the interim exercise the voting power, of 500 million shares of common stock. This is equivalent to approximately 51% of the Company's outstanding shares on a fully diluted basis."

So wow am I curious to see how the consideration of approximately $50,000 in cash in which the Company issued 5,000 shares of Series D Convertible Preferred Stock to its sole officer and director Shaun Irvine, does that consideration of approximately $50,000 in cash give Shaun Irvine the right to convert into, and in the interim exercise the voting power, of 500 million shares of common stock.

And I wonder if there was another 24% of the Company's outstanding shares that would make the company believe they could effect a 1-for-2000 reverse split without a shareholder vote.



I saw nothing in regards to the company asking shareholders for their approval on the proposed share exchange agreement.



I saw nothing in regards to the company asking shareholders for their approval on the appointment of the Board of Directors.



I saw nothing in regards to the company holding an annual shareholder meeting.



I saw nothing in regards to the company holding a new shareholder vote for the election of a new EXBX Board of Directors.
