Unfortunately most of these are set up in states like Nevada and Delaware that are more pro business than investor and allow the companies to make decisions such as an RS without shareholder approval if the board or CEO owns the majority of voting rights. Basically there is no recourse at all for the common shareholder who gets screwed.
