The ones that aren't distributed to the insiders, convertible debentures, promoters, etc., those hit the open market. If they have a 504, 505, 506 in place shares can also be sold to accredited investors.

The problem as I see it? We don't know the number of shares issued and outstanding, common, nor preferred.
