As to the S-3

It is an excellent way to finance the future--and obviously we have a future--

As long as the Prospectus remains valid for the 50 mil share,, whether sold or on the shelf, they are dilutive, all 50 mil---but they will actually hit the mkt in small pieces--

And the manner in which they effectively dilute will be non painful and very beneficial to the company--

When I was on the desk we got a HYSTER OFFERING---had an S-3 and we got 5 mil shares to sell to the public--Hyster sold the entire 5 mil to my NYSE firm for a specific price and we mkted them 1 1/2 points under the opening price that day--commission free to the public---all the shares were sold in one day and the mkt hardly knew it occurred-

This is smart non toxic financing by our CEO!!!
