Never really covered this with the board. This was another very positive sign of the quality of SIVC/Redwoods reverse merger deals.

One of the most reputable shell brokers around are the Halters. timothy Halter, Halter Financial Group....
They do an excellent job of making sure their shells are clean and have no hidden problems. I was very impressed that SIVC got the ENHD shell from the Halters. SIVC continues to surround themselves with reputable big money partners.

Precious Sheen Investments Limited acquired Energroup Holdings Corporation from Halter Financial Investments, L.P. and other shareholders on December 31, 2007 in a reverse merger transaction. As part of the consideration, Precious Sheen acquired 16.85 million shares representing 97.55% stake in Energroup. Under the agreement, Energroup issued 3.86 million shares to ten accredited investors for $17 million. Timothy P. Halter agreed to resign as a member of Board of Directors. Shi Huashan will be the President and Chief Executive Officer and Chairman of Board, Wang Shu will act as Chief Financial Officer, Chen Fuyuan will be Chief Operating Officer and Ma Fengqin, Wang Shuying, Matthew Dillon, Wendy Li and Nestor Gounaris will be the members of the Board. The transaction is subject to approval from the Board of Directors and shareholders of Energroup, consummation of private placement transaction, contingent upon reverse stock split, execution of definitive agreement and resignation of Energroup's Directors. Hunter Wise Securities LLC acted as a placement agent to Energroup Holdings. Redwood Capital, Inc. acted as a financial advisor to Precious Sheen. Precious Sheen Investments Limited completed the acquisition of Energroup Holdings Corporation from Halter Financial Investments, L.P. and other shareholders on December 31, 2007 in a reverse merger transaction.
