SIVC-Hunter Wise Securities, LLC acted as the sole placement agent to the Company and Redwood Capital, Inc. acted as an advisor to Chuming. Simultaneous with the acquisition on December 31, 2007, the company completed a private placement with institutional and accredited investors led by Pinnacle China Fund, L.P. which resulted in gross proceeds to the company of $17.0 million through the issuance of 3,863,636 million shares of common stock, which represents an approximate 18% stake in the company.

Mr. Kitt is the founder and managing partner of Pinnacle Advisers, L.P., which focuses primarily on micro-cap stocks, and Pinnacle China Advisers, L.P., which focuses primarily on U.S.-traded Chinese companies, both of which are investment management firms based in Plano, Texas.

Upon graduating from California State University-Sacramento with a Bachelor of Science degree in Finance in 1978, Mr. Kitt worked as a market maker on the Chicago Board of Options Exchange (CBOE). In July 1985, Mr. Kitt left the CBOE to devote full time to his investment in a rapidly growing telecommunications firm. That company was sold in May of 1990 to a Dallas-based, publicly held national telecommunications company, whereupon Mr. Kitt served as Vice President of Sales until November 1993, when he left to devote all of his time to Pinnacle Advisers.

Mr. Kitt is a frequent guest lecturer at the Cox School of Business on the campus of Southern Methodist University. He has appeared on television and is often quoted in The Wall Street Journal with regard to investment-related matters.

Mr. Kitt resides in Plano, Texas with his wife and three children. As further demonstration of his belief in the importance of China and the impact it will have on our future, both of Mr. Kitt’s college age children are learning Mandarin while majoring in Finance. His daughter completed her first summer studying in China, and his son completed his third summer studying and working in China.
