Seaway Valley Executes Term Sheet to Acquire Hospitality Group

Friday January 18, 8:00 am ET

Assets and Businesses Complementary to Seaway Valley's Current Holdings

GOUVERNEUR, N.Y.--(BUSINESS WIRE)--Seaway Valley Capital Corporation (OTC Bulletin Board: SWVC - News) (“Seaway Valley”) announce that it executed a term sheet and is in final negotiations to acquire a regional hospitality company. The company, which has gross assets of approximately $13 million and revenues of just over $5 million, specializes in consumer products and is based in Upstate New York region.
“This acquisition, if consummated, would be strategic to Seaway Valley on a number of fronts. In addition to the management team that would join Seaway Valley, tremendous opportunities exist for cross selling and promotional efforts among and between these geographically clustered assets,” stated Thomas Scozzafava, CEO of Seaway Valley. Mr. Scozzafava added, “Additionally, certain of these assets represent a tremendous platform that Seaway can immediately assist in positioning for growth inside and outside the region – both organically and through additional acquisitions.”

Seaway Valley recently acquired Patrick Hackett Hardware Company (“Hackett’s”), which operates nine stores in St. Lawrence, Franklin, Oswego, Madison, and Jefferson counties – all in northern and central New York.

"Assets and Businesses Complementary to Seaway Valley's Current Holdings"

What does North Country Hospitality (NCH) have? Do they have anything that would complement SWVC's current holdings?

"Seaway Valley Capital Corporation announce that it executed a term sheet and is in final negotiations to acquire a regional hospitality company."

A regional hospitality company.... does NCH fit that description?

"The company, which has gross assets of approximately $13 million and revenues of just over $5 million..."

North Country Hospitality Inc. (OTC Pink Sheets: NHSP) is a diverse real estate holding company which has amassed over $12 million in assets with revenues exceeding $6 million in its first year as a public company.

"...specializes in consumer products and is based in Upstate New York region."

What are consumer products? Products that are purchased by final consumers for personal consumption. Is NCH based in the Upstate New York region? Yes.

“This acquisition, if consummated, would be strategic to Seaway Valley on a number of fronts. In addition to the management team that would join Seaway Valley..."

Management team? Have you check out NCH's management team?

Principals in North Country Hospitality Enterprises include restaurant owners, managers and chefs with over 45 years of combined experience. In addition the commercial bakery has been operating for over ten years. Master bakers and bakery managers have over 50 years of combined experience.

Christopher Swartz is Chief Executive Officer and Chairman of North Country Hospitality Inc. Mr. Swartz has been the president of publicly traded companies specializing in restaurants and restaurant chain acquisitions for over 10 years. .

Gary Baker is Chief Operating Officer of North Country Hospitality. Mr. Baker has managed industrial plants and bakeries since the early 1970’s. His vast understanding of the requirements for delivering premium and ‘fresh-daily’ bakery products has streamlined Brown Bag Bakery into a successful, and growth oriented business.

Stephen Flynn, Senior Vice President of Distribution has owned and managed the Sackets Harbor Brewing Company, Sackets Harbor Brew Pub, Good Fellos Restaurant and the Sackets Cantina for over 10 years.

Errol Flynn has also been a minority owner in. Sackets Harbor Brewing Company, Sackets Harbor Brew Pub, Good Fellos Restaurant and the Sackets Cantina for over 10 years. Mr. Flynn’s detailed experience in managing multi-million dollar corporate enterprises helps guide North Country’s course for growth and continued profitability.

Michael Kilburn, Director of Finance, has overseen the finances of restaurants and multi-unit concepts since 1996.

"...tremendous opportunities exist for cross selling and promotional efforts among..."

What is cross-selling? The strategy of pushing new products to current customers based on their past purchases. Just an example - what if every Hacketts had a bakery, coffee and/or sandwich shop? What role would NCH play? One can only guess as to what "cross-selling" is in accordance with the PR.

Can anyone see the promotional efforts? What is SWVC owned "Sackets Harbor Brewing Co."? SWVC news releases alone would get the name, "1812 ALE" out. I like beer... what does 1812 Ale taste like? When will I be able to purchase it at my local grocer? What if 1812 Ale is the next Sam Adams?

"...and between these geographically clustered assets...”

Who can tell me what is meant by "geographically clustered assets"?

"Additionally, certain of these assets represent a tremendous platform that Seaway can immediately assist in positioning for growth inside and outside the region – both organically and through additional acquisitions."

Can anyone see how North Country Hospitality might fit the description above?
