Anyone look lately at fundamentals here? It's showing new Chairman and CFO on TD Ameritrade system...?? Hard to believe this was about $15.00/share in 2014 too... Maybe a ticker acquisition about to happen here and used for new business model??? Just weird..
Unreal. Maybe someone will buy it up like what's happened elsewhere? Sad that CEO took off like he did, leaving Franchisees holding bag and us shareholders... Wonder if anyone hunted him down?
Yes, CHFR can still trade on the Grey Market, but now the SEC is moving to have the company's stock registration revoked whereafter the stock would not trade again.

Wow, TDAM shows CHFR traded yesterday...??? Maybe my wallpaper shares can be used for something good one day yet? LOL
Maybe what happened to Old RBRM to LGBI may be going on here? Guess have to wait and see...
TDAM showing some minor trading on this old ticker now after long sleep. Going to do what LLEN been doing I wonder? Market is weird today...
Maybe this former CEO should have done what George Economou of DRYS has been doing for years to raise capital fast...??? LOL
Yes, quite unreal. Boggles the mind.
??? Renee.... I came across a couple other supposed dead stocks that are actively being traded and really goes against my psychi... One was in MJ industry in fact... nearly nonexistent company yet trading millions in volume daily at times... Unreal...
It happens occasionally on illiquid, previously suspended stocks. Eventually FINRA will delete the symbol as an inactive security.
Thanks for letting me know.
Hey Renee, two days ago brokerage showed trading occurred with this stock all of a sudden??? Volume was very low but something happened.
Probably wasting it's time on less meaningful things that are easier to do, those flunkies who could not make it in private practice.
I'd like to know answer to that too. Wonder what if anything SEC has been doing about this.
Amen to that. Did they ever find the CEO I wonder.?
Ohh yes. Great little company growing well and diversifying through franchisees; until white collar corporate crime interveined and CEO did what he did.... Took many by surprise.
Would LOVE to go all Billy Jack over these CEO's everywhere for what they have done to many hard working private investors here and globally.
Yes, they had franchises in place and those owners were caught off guard by what CEO did too. I see the stock still trading as of yesterday...?
Dunno. I didn't know they sold franchises. Never saw that on the financials statement footnotes as required.
Well, sad, no new blossoms on this fruit tree... All those Franchisees screwed like us shareholders alike... Did they find where the CEO ran off too with all the funds from stock split???
Grey Sheets = kiss of death on this one....Bye bye china fruits you fraudsters...hope the china police find you
Wonder what new overseas developments occuring regarding franchise owners, et al...???
Brokerage shows stock still in-trade daily and being kept alive for now by someone... Need to have news on what's going on right now... Not a word anywhere.
So many small businesses/Franchisees waiting to know too..
Trading suspension to be lifted in 4 days (Tuesday morning) then....
Strange, my brokerage showing daily volume and trades since temporary trade halt of Sept 1st...?
SECURITIES EXCHANGE ACT OF 1934
Release No. 75796 / September 1, 2015
The Securities and Exchange Commission ("Commission") announced the temporary suspension, pursuant to Section 12(k) of the Securities Exchange Act of 1934 (the "Exchange Act"), of trading in the securities of China Fruits Corporation ("CHFR"), a Nevada corporation based in Beijing, People's Republic of China, commencing at 9:30 a.m. EDT on September 1, 2015, and terminating at 11:59 p.m. EDT on September 15, 2015.
The Commission temporarily suspended trading in the securities of CHFR because, among other things, of questions regarding the accuracy and completeness of CHFR's representations to investors and prospective investors in CHFR's public filings with the Commission and other public statements. In particular, CHFR is delinquent in filing its Form 10-Q quarterly report for its second quarter ended June 30, 2015, and CHFR does not appear to have publicly responded to news reports concerning CHFR relating to, among other things, (i) the whereabouts of Mr. Quan Long Chen, CHFR's current or former Chief Executive Officer, President, sole director, and controlling shareholder; (ii) the status of any investor funds that may have been collected by or through Mr. Chen in connection with CHFR; and, (iii) the financial condition of the company, including the status of CHFR's business operations.
The Commission cautions brokers, dealers, shareholders, and prospective purchasers that they should carefully consider the foregoing information along with all other currently available information and any information subsequently issued by the company.
Further, brokers and dealers should be alert to the fact that, pursuant to Rule 15c2-11 under the Exchange Act, at the termination of the trading suspension, no quotation may be entered unless and until they have strictly complied with all of the provisions of the rule. If any broker or dealer is uncertain as to what is required by Rule 15c2-11, he should refrain from entering quotations relating to CHFR securities until such time as he has familiarized himself with the rule and is certain that all of its provisions have been met. If any broker or dealer enters any quotation which is in violation of the rule, the Commission will consider the need for prompt enforcement action.

Dickman, Staff Attorney, Atlanta Regional Office at (404) 842-7630.
Wish you best of luck. But I don't see this going up again. CEO disappeared with 34 million, franchise stores closed and investors lost their money.
Yes I do have shares post R/S and holding right now.
Yep, very bad. I felt something was wrong, so I started to do some searching. Don't know if you have still shares, but best is to sell. Don't see it recover.
WTF now??? This is as bad as what has been going on with LGBI the last few years and Feds finally investigating that security now and all connected to it...
Found another article. Company is dead, CEO is a crook. http://www.freshfruitportal.com/news/2015/07/30/china-fruits-corp-scandal-leaves-franchisees-staff-suppliers-and-shoppers-in-disarray/?country=netherlands
Website still under construction. I expect next Q within 2 weeks, hope company will inform us what is going on. Still holding, but not accumulating.
Well thanks for this. They need to address this ASAP then for shareholders' benefit which is what the main premise of the R/S was to be about...
I agree that this can be a great opportunity. CHFR is trading 0,25, or 0,01 pre reverse split.
However, things are not going as planned. Q1 2014 net income 114k, Q1 2015 net loss 802k. The RS was meant to uplist, which is not going to happen now, I suppose. The IR firm DGIP told me they would start that process as soon as the RS happened. I contacted IR last week, and now CHFR has finished the contract with DGIP. Also the website is 'under maintanance' for quite some time now (http://www.taina.cn/index.html). So there is a lot happening behind the scenes, but I don't know if it is good or bad. But I still think CHFR has a lot of potential. If they can maintain the growth of reatil stores as planned, I expect the company to be profitable again at some time. And as you say, the PPS can explode than with an OS of 2 million.
We will now see. PPS has finally bottomed IMHO, and though I stated publicly I hated the idea of a RS they did, there are now only like 2 million shares public available! Hardly any stock out there to own. And ANYTHING new and positive coming forth on CHFR will see PPS explode upward so fast it will make many heads spin..
Up to recent Q, which every corp has ups & downs, CHFR has been doing extraordinary things and the facts stand as I see them... This could be the greatest opportunity in the word to buy and invest long term from 25cent level too...?
The OS is 2 million. Fully diluted means what the OS will be if all options and convertible securities will be converted into common stock. Knowing the fully diluted OS allows an investor to see what percentage of the company his investment would be in the event that all of the company’s potential common shares were to be issued, based on its current obligations. So if all the obligations CHFR has would be converted into common stock, the OS will be 5,4 million. In other words, based on the current obligations, maximumn dilution will be 3,4 million shares.
I did read the purpose for the RS. I haven't read the latest 10K and 10Q thoroughly yet though. Dropping >90% on a bad quarter seems unlikely, Q1 also seem to be a weak quarter for them historically.
I'm really confused by the 10Q considering outstanding shares. Where did the 5,439,447 come from?
17. NET INCOME/(LOSS) PER SHARE
Basic net income/(loss) per share is computed using the weighted average number of the ordinary shares outstanding during the periods.
The following table sets forth the computation of basic net income/(loss) per share for the period ended March 31, 2015 and 2014, respectively:
For the period ended 3/31/2015 3/31/2014
Net Income/(Loss) $(802,846) 114,711
Net Income/(Loss) Per Share – Basic (0.39) 0.06
Net Income/(Loss) Per Share – Fully diluted (0.15) 0.06
Weighted Average Number of Shares Outstanding – Basic 2,065,564 1,998,049
Weighted Average Number of Shares Outstanding – Fully Diluted 5,439,447 1,998,049
Number of shares of common stock, par value $.001, outstanding as of May 18, 2015: 2,140,702
Number of shares of preferred stock outstanding as of May 18, 2015:
Series A, par value $.001 - 13,150
Series B, par value $.001 - 12,100,000
Well, I didn't get screwed, because I sold before the RS and just got back in today.
Dilution is not the main issue here, if you look at the volume. The big problem is company had a very bad Q1 with a net loss. They obviously lost a big foreign client. The RS was meant to uplist to a higher exchange, which I suppose wouldn't go through now. I mailed IR about that, but didn'get an answer yet. On the other hand, this company still can have a bright future. They are expanding the franchise stores in China very fast, and e-commerce is also growing. So I have no doubt at some time this will be a very profitable investment. The OS is only about 2 million, so it can go up as fast is it got down.
If yoy go through the latest annual and 10Q, you can learn a lot about this company.
And here is the re[ort of the CC they held a few months ago http://investorshub.advfn.com/boards/read_msg.aspx?message_id=110866421
Here are some research reports http://www.otcmarkets.com/stock/CHFR/research
It seems like you guys got screwed by the company on the RS. But not because "companies that does RS always goes down", which seem to be consensus on many iHub message boards for some reason.
From 2015 Q1 report:
Weighted average number of common shares outstanding:
-Basic 2,065,564 1,998,049
-Fully diluted 5,439,447 1,998,049
Pre-Reverse Stock Split
Authorized Shares of Common Stock Issued Shares Authorized but Unissued
100,000,000 52,225,394 47,774,606
Post-Reverse Stock Split
Authorized Shares Issued Shares Authorized but Unissued
100,000,000 2,089,016 97,910,984
I agree with the previous Q's. Didn't expect the big loss in last Q. I don't believe it is due to a switch in focus, but rather that they lost a overseas client.
??? Previous quarters were stellar and may become major buying opportunity as float has been greatly reduced too... not many shares out there compared to most other companies ...
It is not only the split. 10Q wasn't good at all.
Sad but what I expected to see. The PPS is collapsing after the RS, and not sure why they really needed to do one. As I said, more times than not, when corps do these splits, shareholders always lose out, as today, there are so many shortseller groups and such who relish on making easy monies and they conspire and short anything into oblivion without care to the company stock or supporting said company or its long term operations, and ruin PPS all the time.
They (CHFR) spoke of uplisting to major exchange, but could have easily have done that without any split, irregardless of shares outstanding...
Sheer collapse of PPS now and will be trading in the $dollar range soon I see...
10Q out. Not good.
We had net loss of $802,846 for the three months ended March 31, 2015, compared to net income of $114,711 for the three months ended March 31, 2014. The net loss during the first quarter of 2015 was due to insufficient gross profit to cover increasing operating expenses. Due to the decrease in revenues from oversea markets, the revenues in the first quarter of 2015 dropped approximately 27% compared to the same period in 2014. On the other hand, the operating expenses increased by approximately 50% compared to the same period in 2014 due to the sales networks expansion. Comparatively, the net income during the first quarter of 2014 was due primarily to the decrease in operating loss resulting from the increase in gross profit. In addition, we received the grants from government in amount $239,132, which was to encourage our contribution in modern agriculture. We had loss from operation without the government grant.
Anyone see the post split shares in their account? I don't. I have TDA. What about activity? Anyone see trades go through?
E
Why are they doing the reverse split?
Is a reverse split 1 share for 25
