(Nasdaq, TASE: NNDM), a leading Printed electronics (PE) / Additively Manufactured Electronics (AME) provider, announced today that its technology, DragonFly LDM system and materials were used to develop a 3D printed sealed packaging with electrical pads for Micro-Electromechanical Systems (MEMS).
The printed electronics package has the electrical pads directly printed on the metal layers on which an RF connector is soldered. The ability to transfer electric pads in a sealed package is one of the most crucial parts in ohmic-contact microelectromechanical systems (MEMS) as it determines the device performance and reliability, particularly for soft and flexible devices where the electrical connectors are typically difficult to produce.

From 2015 to 2020, Mr. Peled was the VP Sales-Americas, of the Security Business Unit in FLIR Systems Inc. (www.flir.com), a public company with $1.8 Billion in annual revenue, focused on intelligent sensing solutions for defense, industrial, and commercial applications. Previously, Mr. Peled was the COO and CRO of DVTEL Inc., video surveillance and artificial intelligence software & hardware high-tech company, which was acquired by FLIR Systems Inc. in late 2015. Nano Dimension ended the third quarter of 2017 with $11,976,000 (NIS 42,265,000) in cash, while total loss for the quarter was $4,152,000 (NIS 14,650,000).

Third Quarter 2017 Financial Results
Total revenues for the third quarter of 2017 were $143,000 (NIS 506,000), compared to $150,000 (NIS 523,000) in the second quarter of 2017 and zero in the third quarter of 2016.
Research and development (R&D) expenses for the third quarter of 2017 were $3,000,000 (NIS 10,588,000), compared to $3,212,000 (NIS 11,230,000) in the second quarter of 2017 and $674,000 (NIS 2,533,000) in the third quarter of 2016. The decrease compared to the second quarter of 2017 resulted primarily from a decrease in options expenses. The increase compared to the third quarter of 2016 is mainly a result of the cessation of the capitalization of development cost in the fourth quarter of 2016.
The R&D expenses for the third quarter of 2017 are presented net of government grants in the amount of $24,000 (NIS 83,000).
Sales, marketing and general and administrative (G&A) expenses for the third quarter of 2017 were $1,077,000 (NIS 3,800,000), compared to $1,490,000 (NIS 5,209,000) in the second quarter of 2017 and $1,049,000 (NIS 3,941,000) in the third quarter of 2016. The decrease compared to the second quarter of 2017 resulted primarily from a decrease in professional services expenses. The decrease in NIS compared to the third quarter of 2016 resulted primarily from a decrease in directors fees and other general and administrative expenses. The expenses in the third quarter of 2017 in USD increased compared to the expenses in the third quarter of 2016 in USD due to changes in the exchange rate of the dollar compared to the NIS.
Net loss for the third quarter of 2017 was $4,152,000 (NIS 14,650,000), or $0.06 (NIS 0.22) per ordinary share, compared to $5,000,000 (NIS 17,481,000), or $0.1 (NIS 0.33) per ordinary share, in the second quarter of 2017 and $1,727,000 (NIS 6,491,000), or $0.05 (NIS 0.17) per ordinary share, in the third quarter of 2016. The decrease compared to the second quarter of 2017 resulted primarily from a decrease in sales, marketing and general and administrative expenses as described above. The increase compared to the third quarter of 2016 is mainly attributed to the increase in R&D expenses as described above.
Nine Months Ended September 30, 2017 Financial Results
Total revenues for the nine months ended September 30, 2017 were $414,000 (NIS 1,459,000), compared to zero in the nine months ended September 30, 2016. The fourth quarter of 2016 was the first quarter in which Nano Dimension generated revenues.
Research and development (R&D) expenses for the nine months ended September 30, 2017 were $8,765,000 (NIS 30,930,000), compared to $1,625,000 (NIS 6,108,000) in the nine months ended September 30, 2016. The increase is mostly a result of the cessation of the capitalization of development cost in the fourth quarter of 2016.
The R&D expenses for the nine months ended September 30, 2017 are presented net of government grants in the amount of $152,000 (NIS 535,000).
Sales, marketing and general and administrative (G&A) expenses for the nine months ended September 30, 2017 were $3,860,000 (NIS 13,621,000), compared to $3,453,000 (NIS 12,975,000) in the nine months ended September 30, 2016. Nano Dimension ended the second quarter of 2017 with $16,495,000 (NIS 57,666,000) in cash, while total loss for the quarter was $5,000,000 (NIS 17,481,000).

Second Quarter 2017 Financial Results
Total revenues for the second quarter of 2017 were $150,000 (NIS 523,000), compared to $118,000 (NIS 430,000) in the first quarter of 2017 and zero in the second quarter of 2016. The increase in revenues compared to the first quarter of 2017 is attributed to longer periods of customer use compared to the previous quarter.
Research and development (R&D) expenses for the second quarter of 2017 were $3,212,000 (NIS 11,230,000), compared to $2,508,000 (NIS 9,112,000) in the first quarter of 2017 and $503,000 (NIS 1,933,000) in the second quarter of 2016. The increase compared to the first quarter of 2017 resulted primarily from an increase in options expenses and in payroll and related expenses. The increase compared to the second quarter of 2016 is mostly a result of the cessation of the capitalization of development cost in the fourth quarter of 2016.The R&D expenses for the second quarter of 2017 are presented net of government grants in the amount of $108,000 (NIS 376,000).
General and administrative (G&A) expenses for the second quarter of 2017 were $1,490,000 (NIS 5,209,000), compared to $1,270,000 (NIS 4,612,000) in the first quarter of 2017 and $1,197,000 (NIS 4,605,000) in the second quarter of 2016. The increase compared to the first quarter of 2017 resulted primarily from an increase in professional services expenses. The increase compared to the second quarter of 2016 resulted primarily from an increase in payroll and related expenses.
Net loss for the second quarter of 2017 was $5,000,000 (NIS 17,481,000), or $0.1 (NIS 0.33) per ordinary share, compared to $4,489,000 (NIS 16,306,000), or $0.09 (NIS 0.33) per ordinary share, in the first quarter of 2017 and $1,664,000 (NIS 6,401,000), or $0.04 (NIS 0.17) per ordinary share, in the second quarter of 2016. The increase compared to the first quarter of 2017 resulted primarily from an increase in expenses related to the issuance of options to R&D employees and payroll and related expenses. The increase compared to the second quarter of 2016 is mainly attributed to the increase in R&D expenses as described above.
Six Months Ended June 30, 2017 Financial Results
Total revenues for the six months ended June 30, 2017 were $273,000 (NIS 953,000), compared to zero in the six months ended June 30, 2016. The fourth quarter of 2016 was the first quarter that Nano Dimension generated revenues.
Research and development (R&D) expenses for the six months ended June 30, 2017 were $5,819,000 (NIS 20,342,000), compared to $930,000 (NIS 3,575,000) in the six months ended June 30, 2016. The increase is mostly a result of the cessation of the capitalization of development cost in the fourth quarter of 2016. The R&D expenses for the six months ended June 30, 2017 are presented net of government grants in the amount of $129,000 (NIS 452,000).
General and administrative (G&A) expenses for the six months ended June 30, 2017 were $2,809,000 (NIS 9,821,000), compared to $2,349,000 (NIS 9,034,000) in the six months ended June 30, 2016. The increase resulted primarily from an increase in payroll and related expenses.
Net loss for the six months ended June 30, 2017 was $9,665,000 (NIS 33,787,000), or $0.19 (NIS 0.66) per ordinary share, compared to $3,417,000 (NIS 13,142,000), or $0.09 (NIS 0.35) per ordinary share, in the six months ended June 30, 2016. The total approved budget for this project is NIS 585,000 (approximately $165,000), of which the Israel Innovation Authority will finance 30%. The terms of the grant provide that we will pay royalties on future sales up to the full grant amount.
This unique project is done in collaboration with Semplastics LLC, a leading supplier of engineered components for a broad range of industries, mainly semi-conductors. Nano Dimension and Semplastics have entered into a non-binding letter of intent with respect to the collaboration. This project will focus on the utilization of Semplastics' novel ceramic material precursors using Nano Dimension's unique 3D inkjet printing technology in order to build 3D high-thickness and low-density ceramic objects for aerospace applications.
The mechanical strength and thermal resistance properties of the ceramic materials make them a crucial element used for a variety of needs in the aerospace industry. The technologies available today to create ceramic elements are expensive, time and energy consuming from the design stage until final assembly, and do not support the creation of complex structures.
3D printing of high-resolution ceramic materials has the potential to allow the creation of complex geometrical shapes, thus allowing rapid and cheaper production of small batches of designated ceramic objects, used in the aerospace industry. A novel ceramic material, developed by Semplastics and used in prototype space applications in cooperation with NASA, will be 3D printed for this project. A modified resin will be developed for the Nano-Dimension 3D printer during this project, resulting in a light-weight yet highly mechanically stable object.

Shotfut Menayot Israel HaPhoenix Amitim and the Phoenix Investment and Finances Ltd., Israeli institutional investors that participated in this private placement, will together hold an aggregate of approximately 5.5% of Nano Dimension's issued share capital following the issuance.
According to the agreements with Shotfut Menayot Israel HaPhoenix Amitim and the Phoenix Investment and Finances Ltd., the Company undertook, within a period of six months from the closing date, not to issue new securities at a price per share lower than 125% of the price per share in this issuance.
As a part of this private placement, which totaled NIS 17.1 million (approximately $4.8 million), the Company will issue approximately 4.1 million ordinary shares at a price per share of NIS 4.2 (approximately $1.19 per ordinary share, or $5.94 per ADS). This funding does not include issuance of warrants and was priced at a minimum discount compared to the market price.
