And I agree. The shares issued has to be toward the new merger. Other wise no since in issuing them. Cant issue new shares to just anyone unless 1. Private investors restricted to raise cash at a certain price. 2. Or issuance of new shares to acquire a company at …. Price per share so on, which will also have to be restricted.

How do you expect them to make a deal then? Do you know how most reverse mergers or mergers work? Not through cash deals but insurance of shares.

They do need to ensure at the outset that the new ownership possesses a higher total number of shares than the number of shares already out in the market, in order to be able to claim a controlling, voting majority to make any future corporate decisions as a newly public entity, do they not?

Raising the share total to accommodate the new ownership makes sense.
Expecting or assuming the new ownership will immediately dump those shares and thus destroy the share value of their newly public company by driving it down into the trips makes no sense.

I think the biggest fear in investing just about blindly in SPOM to date, logically, has been that no reverse merger will happen at all.

That possibility, that it will fall through, doesn't get fully alleviated until we see it actually happen of course.

But to get panicked by seeing the company take the methodical and necessary share structure steps to follow through on the merger and make it a reality seems very illogical trading to me.

So I'm still in.

Well, if you also dive deeper. That owner is also what seems maybe a family business, that also branched to AMS “Allure” if you look at both Company socials they do quite a bit of impressive work. Wonder if they have more, I haven’t had time to dive deeper. However, biggest kicker to me. Is they spent the money to do so and reverse merge another company they most of felt a better fit. Prior to this, the old company held over $3 million in assets, cash and etc. So, why move away from that company to a new one? I wouldn’t think for a lesser of the two.

Foolish. Sure. But this is the OTC after all. Hope for everyone’s sake that is t the case…they are sure taking their time though.

That would be a foolish decision on the companies behalf at the moment. With little debt at the moment. Their best bet is to do an audit on all shares, then if they have plans of growing do a ticker change and issue new shares at a set price lowering their O/S. Nasdaq and big boards are notorious for it, but they’re better ways around it all in the otc.
