RG Global Letter to Shareholders Addresses Shift to Deep Injection Well, Opportunity in AustraliaBY PR Newswire
— 07:30 AM ET 10/20/2009
ANAHEIM, Calif., Oct. 20 /PRNewswire-FirstCall/ --
Dear Shareholders,
Over the last year, I have diligently worked with a small team to lower our overhead, minimize costs and counter the effects on RG Global (RGBL
) from declining natural gas prices in the U.S. We have reduced salaries by 40% and outsourcing by over 50%, plus lowered monthly operating costs by over 75%. We have streamlined operations, refined our direction and advanced our technology to the point that we gave it a new name. The potential for our DynIX(TM) technology has never been greater.
As previously announced, on October 13, 2009, RG Global entered into an operating agreement for an injection well in Utah. Our original intent was to purchase this injection well. Unfortunately time constraints left us with no option other than to find a financial backer who could immediately acquire the well, provide us with an operating agreement and make available a future option of purchasing the well. This structure should allow RG Global to generate a positive cash flow while providing long-term stability to our operations.
Management has determined that ownership of a deep injection well is the only way to ensure corporate profitability and shareholder value in the water processing industry. As state and federal regulations increase, water discharge restrictions result in higher discharge costs, which pose a threat to the profitability and survival of a water processing company -- no matter the benefit of the technology being utilized. This agreement marks the first step in RG Global owning a deep injection well.
While a great deal of time has gone into closing the injection well deal, an equal amount of effort has gone into developing our presence in Australia. We are currently working with World Environmental Solutions Pty Limited (WES), our exclusive representatives in Australia since May, to organize a seminar that will showcase the benefits of our DynIX system for treating produced water from Coal Seam Gas (CSG), also known as coal bed methane (CBM). We will be inviting the largest CSG operators in Australia, who are also the largest CBM operators in the world, to the seminar to demonstrate the tremendous benefits that our ion exchange technology can bring to processing produced water and why the DynIX system is the most efficient type of ion exchange technology in the market today.
Currently, reverse osmosis (RO) is the most utilized method of dealing with produced water in Australia, but it requires large amounts of energy and produces a waste stream of 20-50%. Many of the wells are in isolated areas with little to no electricity, so the industry is using mini-turbines that run on CSG gas produced from the well. In addition to the large energy requirements, the massive waste stream for landlocked areas must be stored in evaporation pits. The Queensland Government is determined to eliminate all of these pits by 2013.
With the addition of the DynIX process as a pre-filter to an RO system, we can reduce this waste stream considerably. Plus, our crystallization process can utilize the turbine's waste heat to further reduce the waste stream.
Australia is currently one of the leading CSG drilling countries, spending billions on developing wells, building pipelines and LNG conversion facilities. Companies such as Arrow Energy, Santos and Sunshine Gas are expanding their LNG capabilities as a result of increased global demand. Queensland Gas Company, in partnership with British Gas, is planning a multi-billion dollar processing plant to serve this growing demand. With such demand comes a massive volume of produced water. Cleaning and processing this water is of top priority to the producers as well as the Australian government.
The WES seminar will provide RG Global with a one-of-a-kind opportunity to introduce DynIX to key decision makers responsible for solving produced water issues for the biggest names in the industry. We intend to show how our technology can improve the efficiency of current RO facilities through the reduction of their waste streams and secure a commitment for a DynIX plant in Australia.
RG Global appears to have turned the corner and is headed in a direction of security and calculated expansion. With such demand in Australia we are currently considering some reorganizational methods to better serve this market, RG Global, and you - the shareholders.
Sincerely,
Grant King
CEO, RG Global

RG Global Signs Operating Agreement for Commercial Deep Injection Well
Completes First Stage of Plan to Utilize Patented Technologies, Generate Positive Cash Flow
UPLAND, Calif., Oct. 13 /PRNewswire-FirstCall/ -- RG Global (OTC Bulletin Board: RGBL) has signed an agreement to operate a 10-acre deep injection well (DIW) that will provide a positive cash flow and establish RG Global as a service partner to major oil and gas producers in Utah.
"RG Global (RGBL.OB) has made tremendous progress in the execution of our plan for a deep injection well in Utah," said Grant King, RG Global CEO and President. "We have recently signed an operating agreement with Pro-Water, LLC to manage and operate the injection well. Using our current technologies, RG Global will convert this well to a greener facility while utilizing the byproducts to increase the projected revenue."
The Utah Injection Well
RG Global intends to develop a facility for the treatment, reuse and disposal of waters produced from oil and gas wells on its well site that is competitively located on a major highway that is easily accessible year round. In this industry, most oil and gas producers pay third parties to dispose of their produced waters in injection wells and evaporation/seepage ponds. RG Global has based its model on strategic utilization, whereby it converts production well water into multiple revenue streams. This includes revenue from water disposal, recycled water for fracking and the separation of oil condensate.
Positive Cash Flow
"This operating agreement is the first step in our reorganization plan to efficiently utilize and implement our available technologies to generate a positive cash flow," said Bob Glaser, RG Global VP Operations. "In addition to the injection well, RG Global is actively pursuing using its patented DynIX technology for water treatment business in Australia to satisfy the increased demand for the processing of produced water from coal seam gas (CSG), also known as coal bed methane (CBM)."
The treatment of CSG produced water in Australia will provide RG Global an even greater opportunity to increase revenues over that of the current CBM opportunities in the states. While historically low natural gas prices in the USA have led to a sharp decline in CBM production, billions of dollars are being invested into CSG development in Australia. RG Global has licensed World Environmental Solutions http://www.wesolutions.com.au/rgga/ to represent its DynIX technology in Australia.
Background on Injection Well Use:
When oil and gas are extracted, large amounts of wastewater are typically brought to the surface. Often saltier than seawater and containing metals or other contaminants, the brine can be damaging to the environment and public health if discharged onto the soil or waterways. By injecting the brine deep underground, Class II wells prevent surface contamination of soil and water. All oil and gas producing states in the U.S. now require the injection of brine into the originating formation or into formations that are similar to those from which it was extracted.

RG Global Completes First Phase of Global Expansion With Deal to Process CSG Discharge Water in Australia
Jun 2, 2009 11:17:00 AM
Email Story Discuss on ZenoBank
View Additional ProfilesUPLAND, Calif., June 2 /PRNewswire-FirstCall/ -- RG Global (OTC Bulletin Board: RGBL), is pleased to announce that it has signed a deal with World Environmental Solutions of Australia for exclusive representation in the coal bed methane (CBM) industry, or Coal Seam Gas (CSG) as it is known in Australia, and utilization of RG Global's proprietary DynIX(TM) technology.
In good faith, World Environmental Solutions has already completed several progressive negotiations with key Australian CSG players and, upon submitting a proposal for the adoption of the DynIX(TM) system, is preparing to enter into an agreement with one of them.
"This deal will serve as a pivotal tool in expanding RG Global's DynIX(TM) technology into the ever growing CSG industry of Australia," said Grant King, RG Global's CEO and President. "Australia is in the midst of a Coal Seam Gas rush, led by major industry players such as the BG Group of the UK, Petronas of Malaysia and ConocoPhillips of the USA. They are taking advantage of rapidly emerging opportunities to supply coal-bed/seam methane gas to the lucrative Asian markets."
Traditionally Australian gas producers have been allowed to dispose of water cheaply in large evaporation ponds. Long droughts in Australia and environment concerns have meant employing other treatment systems such as reverse osmosis (RO) plants. Water recovery in these plants is an expensive process and is limited to a 70% recovery rate. The leftover regenerate waste presents producers with a major problem, given that the government now requires significant reductions in waste and improved discharge water quality. Regulations have also been submitted requiring gas producers to treat the CSG water for a variety of agricultural purposes, in addition to augmenting local municipal water supplies. Much of the associated expense to process the CSG discharge water will be borne by the CSG producers.
Gas extraction is a relatively simple process. However, the massive amount of water that must be extracted to remove the gas poses a major problem for producers. Solving this issue is paramount in enabling the industry to move forward and profit from the large Asian gas markets. Another benefit of RG Global's DynIX(TM) technology is it can be used as a standalone process or as a pre-treatment in optimizing economic and operational viability of existing RO facilities. Using DynIX(TM) results in increased recovery rates, lower regenerate waste and reduced operating costs.
Keith Morlock, RG Global VP Business Development, said, "In order to successfully market our water treatment and CFS technology worldwide, we needed a name that not only encompassed the variable systems utilized but would better represent the technology that our system is based on. Our Dynamic Ion Exchange, now branded as DynIX(TM), enables RG Global to handle not only the increased global demands for clean water but the unique water analysis that presents itself at each region. The DynIX(TM) system is a cost effective alternative that has succeeded in significantly improving water recovery rates and reducing regenerate waste, compared to expensive and less efficient reverse osmosis (RO) systems."
Recently the BG Group struck a deal with the State-owned China National Offshore Oil Corporation (CNOOC), who agreed to purchase 3.6 million tons per annum (Mtpa) of liquid natural gas (LNG) for 20 years from the start-up of the BG project. Furthermore they will convert the additional Coal Seam Gas into LNG. The project is valued at $8 billion and is planned to start in early 2010. It has also been reported that Santos will develop one of Australia's largest forestry plantations by planting over 2 million native trees in an effort to use the water (over 30 Olympic-sized swimming pools a day) that will come from its CSG fields in Queensland.
The vast majority of coal seam gas in Australia, is located in the Surat and Bowen Basins in Queensland. It has been estimated that as many as 25,000 wells will be drilled in these areas. The expected annual rate of CSG water production in the Surat Basin alone is 25 gigalitres. The quantity of this highly saline water is considered an environmental risk by the Queensland Government and has given rise to their recent introduction and imposition on gas producers of stringent CSG water management plans and practices.

I see sporadic trading but no discussions.
Nobody cares about this stock even with Corey gone?
Does nobody trade this stock? They must be doing something? Anything?
So doesn't look like the elimination of Corey Ribotsky helped the stock?
I thought this would do better after the settlement, but I guess not.
Anything new here now that they settled with NIR?
they will keep their warrants.
RG Global Announces Settlement of Litigation With NIR Group
ANAHEIM, Calif., Jan. 24 /PRNewswire-FirstCall/ -- RG Global Lifestyles, Inc. (OTC Bulletin Board: RGBL) announced today that it had resolved all litigation with NIR Group, which, through its affiliates, held Convertible Notes issued by RG Global. As part of the settlement, NIR Group will receive certain payments for the Convertible Notes to be paid out of proceeds RG Global received in connection with a claim on a key man life insurance policy it held, and will retain its outstanding warrants.
Grant King, RG Global's CEO, stated: 'RG Global asserted many counterclaims against NIR Group's affiliates, including claims of unlawful stock trading. In the course of extensive pre-trial investigation, we found no evidence to justify pursuing these claims and now wish to withdraw them, without further drain on our time and resources.'
Corey Ribotsky, Chairman of NIR, stated, 'The NIR funds have been scrupulous in honoring their agreements and complying with the law. We only brought suit because we were left with no other choice. We are glad to resolve the matter on terms that are beneficial to our investors and to RG Global, where we will continue as a major investor through our warrants. We are confident that Grant King can lead RG Global forward with its business plan.'
The pr said they will pay NIR in full using insurance proceeds. This has been trading for a while.
mAjOr dAmAgE, IMO they just changed the terms of the agreement;
I am sure AJW/ NIR will get paid. The 8-K or next 10QSB will explain it.
No discussion about this stock here? How long has it been trading? TIA
Good luck.
This company apparently satisfied the convertible note with Ribotsky. Congrats to the company for making a decision to end Mr. Ribotsky's downward spiral.
RG Global Corporate Update: First Coal Bed Methane Water Treatment Plant Near Completion; Expanding Water Treatment Applications
ANAHEIM, Calif., Jan. 29 /PRNewswire-FirstCall/ -- RG Global (OTC Bulletin Board: RGBL) announced today that the company is on schedule for construction of its coal bed methane water treatment plant and discussed numerous projected growth areas for the Company.
Coal Bed Methane Water Treatment Plant On Schedule
RG Global's Catalyx Fluid Solutions (CFS) expects to complete construction by the end of February on its first plant employing the Catalyx Fluid Solutions ion exchange technology to treat water discharged during the harvesting of coal bed methane (CBM). Final commissioning of the plant should be completed by the end of March 2008. The plant, located in Wyoming, will remove excess sodium and other environmentally harmful minerals from the CBM-produced water as part of a previously announced five-year, $20-22 million gross revenue Build-Own-and-Operate contract with one of the largest CBM production companies in the U.S.
'Numerous energy production companies have expressed keen interest in our CFS technology and we are currently in negotiations for additional CBM water treatment plants in the U.S. and abroad,' said Juzer Jangbarwala, RG Global CTO. 'RG Global is in an excellent position to capitalize on the increased interest in coal bed methane as an unconventional fuel in many countries that are attempting to reduce their dependence on oil and coal.'
Additional Water Treatment Applications
Water has been capturing headlines as an increasing valuable resource, particularly in drought-stricken areas and where there is widespread contamination in the water supply, causing skyrocketing demand for effective, cost-efficient water treatment technologies such as RG Global's CFS solution. CFS is in negotiations with multiple companies for additional applications of its ion exchange technology, which can be used to remove nitrates, arsenic, sodium and a wide variety of inorganic contaminants from water to make it suitable for human or animal consumption, irrigation and other uses.
'To accommodate the current and anticipated growth of our CFS division, late in 2007, RG Global relocated its headquarters to a larger, 10,000 sq. ft. facility in Anaheim,' Mr. Jangbarwala noted. 'Since that time, we've expanded our marketing and engineering staff to manage the increased interest in the CFS technology. We anticipate announcing additional CFS contracts resulting from our efforts in the current quarter.'
$3 Million Insurance Settlement Received
RG Global received $3 million related to a claim on a key man insurance policy it held. A portion of the funds has been used to settle litigation with a previous holder of Company convertible notes. The remainder will be used to fund RG Global's continuing R&D and growth.
RG Global CEO Grant King said, 'RG Global expects to have sufficient resources to successfully complete our transition from an R&D stage to commercialization of our intellectual property. We have used the insurance proceeds to eliminate convertible debt while covering normal operating expenses. More than 85% of the cost of our first CBM plant coming online during the second quarter 2008 has been paid for in cash. We anticipate our revenue stream will increase substantially starting 2nd quarter in 2008. Additionally, we are finalizing financing commitments from vendors, investors and prospective customers, which will enable us to fund and build more CBM plants rapidly upon receipt of plant contracts. We have designed the financing to minimize dilution and preserve shareholder value while enabling controlled expansion that will dramatically enhance revenues for RG Global.'
