Patriot One Technologies Inc. (TSX-V: PAT) (OTCQX: PTOTF) (FRANKFURT: 0PL) ("Patriot One" or the "Company"), is pleased to announce it has received final approval to graduate its listing from the TSX Venture Exchange (the "TSX-V") to the Toronto Stock Exchange (the "TSX"). The Company's securities will commence trading on the TSX at the open of the market on Tuesday, April 9, 2019. In connection with the TSX listing, the Company's securities will be delisted from the TSX-V prior to the commencement of trading on Tuesday, April 9, 2019.

Our numerous conversations with resellers, distributors and end-users has both aided our research efforts and revealed unmet market opportunities to improve and extend the capability of our algorithm-based software platform through the adoption of multiple specialized sensors for threat detection.

Through conversations with our customer base, the concept of a PATSCAN multi-sensor platform approach has taken shape. While many of our investors will see this as a way to capture an even larger market share, our clients will see a multi-sensor approach as a means to further guard their properties without creating fortress-like environments. The agreement aims to extend the technical development of Patriot One's cognitive microwave radar technology beyond the initial goals of the Company and includes a two stage, several million dollar (final amounts to be determined) non-dilutive funding for the development of the PATSCAN CMR technology with in-kind technical support for additional research and development. Until such time as all required approval is received (presuming it is received) Patriot One is restricted from providing additional details regarding the transaction. Patriot One Finalizes International Threat Detection Testing Plans with University of North Dakota

The initiative was led by Patriot One and UND campus Chief of Police, Eric Plummer. Chief Plummer traveled to Kelowna, B.C. to tour Patriot One's new development and testing center, as well as to finalize implementation plans for the UND Threat Detection Testing.

The University of North Dakota is a public research campus that offers 224 fields of study; including: aviation and aerospace at the John D. Odegard School of Aerospace Sciences. The university also has several national research institutions, such as the Energy and Environmental Research Center, National Center for Hydrogen Technology, and North Dakota's only medical school and law school. All of which have the highest level of security needs.

From a safety and security standpoint, UND's Department of Public Safety, led by Chief Plummer, provides nationally recognized Safety and Emergency Planning, Campus Public Safety Training, and Safe Colleges planning and implementation programs for colleges and university campuses across North America. PATRIOT ONE ANNOUNCES $17.4 MILLION BOUGHT DEAL

Patriot One Technologies Inc. has entered into an agreement with a syndicate of underwriters led by Canaccord Genuity Corp. pursuant to which the underwriters have agreed to purchase, on a bought-deal basis pursuant to the filing of a short-form prospectus, an aggregate of 8.7 million units at a price of $2 per unit for aggregate gross proceeds to Patriot One of $17.4-million.

Each Unit will consist of one common share of the Company (a "Common Share") and one half of one Common Share purchase warrant (each whole Common Share purchase warrant, a "Warrant"). Each Warrant will be exercisable to acquire one Common Share (a "Warrant Share") for a period of 36 months following the closing of the Offering (the "Closing") at an exercise price of $2.40 per Warrant Share.

The Company has agreed to grant the Underwriters an over-allotment option to purchase up to an additional 1,305,000 Units at the Offering Price or up to 652,500 Warrants at a price of $0.30 per Warrant, exercisable in whole or in part, at any time on or prior to the date that is 30 days following the Closing.

The Units will be offered by way of a short form prospectus to be filed in British Columbia, Alberta, Saskatchewan, Manitoba and Ontario. The Company intends to use the net proceeds from the Offering for funding its international expansion, accelerating the deployment of its technology and for working capital purposes. Looks like those posters at the Stockhouse.com bullboard discussion site on v.PAT were right about how the avalanche of cheap shares & warrants would crash the shareprice. Fairly good volume on the Canadian ticker most days, so hopefully the overhang of cheap shares will burn through sooner than later.

It's hard to figure out where a bottom is when so many shares are available. Hopefully most holders will not give in to the "quick small gains are better than longterm big gains" syndrome. If so, a bottom may occur in the 0.40s or 0.30s on PTOTF (US ticker).

I'm keeping this on my watchlist and at some point will likely buy a good-sized position. But need to wait at least a few months until that overhang burns off some more.

I had to be away this morning on a long hike by a beautiful mountain stream -- really glad and lucky my auto-sell order on PTOTF at 82 cents filled for 7k shares. I still kept 1k shares but had to largely let go of this stock for now.

The reason? I scanned last night the Stockhouse.com message board ("billboard" as they call it) and that Canadian site for v.PAT has some scary info from a couple of posters about millions of $0.15 (CAN) shares and $0.30 warrants becoming eligible tomorrow (March 10) to be unloaded. This stock could dive a lot further under that kind of possible selling pressure.

There may be many holders of those cheap shares and warrants who will hold on for a much higher price before cashing in, but i fear they may be outnumbered by the sellers. Some of today's selling (like mine!) may have been in advance of that worrisome prospect.

Nevertheless, i hung on to a small remnant amount of shares just in case some fantastic news zooms the shareprice.

I'll be back at some point as a buyer-- i really like the story on Patriot One and think they can have a fantastic future.

Anyway, Patriot One has a "great story."
Let's see if demand for more product demonstrations occurs and actual sales of the product any time sooner than later.

Nice to have the Tom Ridge presentation video -- if he in fact has looked at most or all of the tech out there and finds Patriot One has the best product, then this will be a huge gainer stock.

But even if the company gets "only" about 2% of the overall market out there (airports, schools, malls, banks, etc.) then PTA.v / PTOTF should still be a nice winner over time.

Q.) You recently began a pilot program in Orlando, Florida. Can you speak about a timeline when your technology will be more readily available to local law enforcement?

A.) Sure. What we’re doing now is rolling out a number of demonstration sites so that we can show the technology in action to prospective clients. We have a huge level of interest in the technology, but we have to get FCC certification before we can go out and deliver product to customers. What we’re doing in the meantime, as we run through that process, is setting up demonstration sites for clients to come in and see the technology in a number of cities across North America. That’ll allow us to start to capture some early purchase orders so that we can deliver once we have that certification. We’ll be doing a hard product launch at ISC West in Las Vegas in April. That’s when people can really come in from across the world, and come and see the tech and place their orders.
