Wrong company. That 8K is for a different company not PC Group Inc (PCGR)

You'll notice on Edgar there are two different PC Group Incs each with a different cusip number each incorporated in a different state

The last filing done by PC Group Inc (PCGR) which is incorporated in Delaware was a Form 15 filing in 2011 de-rigestering its stock making it a non-SEC reporting entity.

This PC Group Inc filed to go public in 2009 as Pioneer Consulting Group Inc.

Upon approval of its SB-2 filing it put in a request for the trading symbol PCGI. As of today it still has not been granted a trading symbol for quotation as a public company.

On April 4, 2013, Pioneer Consulting Group Inc changed its name to PC Group Inc

Consideration and Closing Schedule

1. Upon signing of this LOI and concurrent with the Closing Date, PCGI shall effect a name change to Superdate Inc. (or something similar based on availability) and complete a forward stock split as agreed to between the parties.

2. On the Closing Date, PCGI will acquire all of the issued and outstanding Superdate Shares in exchange for 25,000,000 million PCGI Shares.

3. Subsequent to the Closing Date, PCGI will cancel all shares held in the name of its current and former management.

4. Within 4 days of the Closing Date, PCGI shall prepare and file a “Super 8-k” filing with the audited financial statements of Superdate and announcing the divesting of the current business of PCGI and the resignation of the former directors and the appointment of the new directors.

5. Superdate shall be responsible for all costs associated with the restructuring of PCGI, including its filings, and closing and post-closing documentation upon the signing of this LOI.

6. PCGI agrees to a financing commitment for the development of the Superdate business as follows:

i. $250k on or before 12 months from the Closing

ii. An additional $350k on or before 24 months from the Closing

iii. An additional $400k on or before 36 months from the Closing

On September 29, 2014, PC Group, Inc. (the “Company”) entered into a Letter of Intent (the “LOI”) with Superdate Holdings Ltd. (“Superdate”). The LOI sets forth basic terms and conditions whereby the Company would acquire all of the issued and outstanding shares of Superdate pursuant to a Share Exchange, which would result in Superdate becoming a wholly owned subsidiary of the Company. The Companywould issue 25 million shares of common stock to the current holders of Superdate in exchange for 100% of the issued and outstanding shares of Superdate. The Company is currently conducting its due diligence and the parties have agreed to enter into a Definitive Agreement by October 31, 2014.

I talked to the company a couple of years ago and the CFO assured me that the company had stopped filing for cost-saving reasons and insisted they were going to start filing again in a few years... He also said that insiders were holding on to their shares as well. I don't know if anything has changed but seeing how the company officers own millions of shares and volume is pretty much non-existent, I would say they still have them.

Those share numbers should still be accurate. Definitely could go crazy with some volume/ news, holding:)
