I kissed this turd goodbye.
my zecco acct had extra $$$ also canceled my buy order from couple days ago price is slightly less now but waiting to see where this goes today
I received the following email from my broker this morning:
NIVM is up nearly 10%, to .019, on >37K volume, most of which came on a 35K purchase at .018.
I don't think canceled stocks apply to us. They are it seems, part of the 2005 employee incentive program that the company now wants to trade for cash. Not 100% sure. Didn't have time to call but I'm sure that answer can be received from the company.
This looks ready to run imo!
This is thin, easy move to .02 with any volume.
does anyone know how long we wait to get the $$ from our common shares? Thanks!
Just read the announcement again. I don't think we'll be affected, those shares that were canceled were from the company's 2005 stock incentive plan they had set aside for employees -
so it sounds to me like they canceled fhose shares and gave them cash instead. Regardless looks like the chart is shaping up nicely imho!
What does it mean "remove from registration all shares of Common Stock registered but remaining unsold as of the date hereof"?

Are there going to be less shares available for trading?
Each share of the Preferred and Common stock of the Company will be canceled and automatically converted into the right to receive an amount of cash as described below.
At the time of the Merger, Merger Corp will pay cash to the Company of $42.5 million, which amount is subject to working capital adjustments provided for in the Merger Agreement (the “Merger Consideration”). The Merger Consideration will be used as follows:
first, the Surviving Corporation will pay its outstanding debt and certain other specified liabilities and outstanding expenses specified in the Merger Agreement (the “Closing Disbursements”); and
·
second, the Surviving Corporation will pay the amount remaining after satisfaction of the Closing Disbursements (the “Shareholder Proceeds”) to an exchange agent (the “Exchange Agent”) for distribution to the Company’s shareholders.

How long till buyout checks are sent?...LJ
It would have been nice if a chart had been provided in your post so we could see the things you mention.
lol, My gtc sell order executed this morning. I feel lucky I only lost about half.
I'm a chart reader, check the chart, these aren't sells they're buys. Also notice the bullish harama cross and the MACD, everything is showing UP, after lunch we should see a nice upswing and perhaps a new HOD.
imo
who needs prison, when a person can get raped enough trading NIVM, lol. The knife is dropping faster than charlie sheens career, lol. The really question for anyone still in this stock is how much of ur shirt are u willing to lose? GET OUT OF THIS SCAM, IMO
Hey fella, my post you responded to was from 3 months ago. At the time the stock was up ticking, lmao.
This dog stock has no moral ground to stand on IMO and I think some folks are going to get their feeling hurt if they choose to stay in here.
The Company expects that, after payment of NIVM's outstanding debt and other liabilities, $8 million of the purchase price proceeds will be available for distribution to shareholders. The anticipated distributions are as follows:
Series A Preferred Stock--$0.50 per share
Series B Preferred Stock--$0.43 per share
Series C Preferred Stock--$2.41 per share
Series D Preferred Stock--$3.95 per share
Series E Preferred Stock--$38.55 per share
Common Stock--$0.02 per share
$42 million dollar company, vs an 11 million dollar co.
why if company will pay only 2 cents/share?
Chart looks awesome, Great day, great news, up over 90% with the usual profit taking. I'm in and looking forward to a great day!!

Clearly stated in the last 10Q: 41.4M o/s, which always refers to commons. Shorts at .04 and above, won't have any problem covering at a profit, just by holding until the deal is consummated.
IMO, the co. f@cked common shareholders and gave everything away to the insiders (preferreds). I'd be pissed!
But are there 41M shareholders of the commons?
Also Shorts need to cover now cause they have to pay for the shares that they are short.
shorts will have to pay. shareholders of record 110 as of april. no way 110 hold 40 mill probably more like about 20 million. Those who hold thru the transaction will be rewarded the difference in the payout $$$ .10+ imo
Real deal here no naysayers(or scam screamers) to come out of the woodwork imo.
quote from a recent press article in OH:
The Dublin company is working on an agreement to be acquired by Columbus private equity investor Stonehenge Partners Inc. for $48 million. The deal would mean National Investment’s departure from the OTC Bulletin Board and the end of what company President John Davis said were hefty costs to remain public.
It appears after the $36M debt and liabilities are subtracted from the $48M, leaves approx. $12M. So, it then appears the "available for distribution" is between $8M - $12M, less the $1.21M.
Bottom side: $8M - $1.21M = $6.79M of which 12% will go to commons, of which there are 41.5M commons o/s. So, 12% of $6.79M divided by 41.5M = .01961
Top side: $12M....= .0294.
Leave it to the company to make sure all preferred s/h get well taken care of, first.
Not trying to call it a scam. Just trying to determine bottom line potential here. It is what it is. GL to everyone.
I think we'll hit the 0.075 level at that point you'll see a small roll back to around 0.05 It will be a nice second buy in point. After that I feel its on its way to 0.16..Just my thoughts is all..Where she ends up..I guess that will be the payout of the 12% price.....If there are some short shares..You'll see some quick covering...Whoever is short will have to pay the payout price owed on the shares short
GLTA..See you on the last day
Its accumulation time..I have no problem buying shares at a cheaper price or do I have one buying them at a higher price...trend is now north and the trend is your friend...lol

I believe the same. I think it will hit around .08 or more.
Nice DD thanx
If you look at the last 5yr chart on this it shows that hardly the accumulation is not more than 10M shares(1.3M/10M =.13 ). So I am assuming that this could be big time winner.
Today the overall volume was 1.4M
12M available for Shareholder.
Series A will recieve .50 for sure
Total available Series A is 4M per last 10-Q of which 2,420,000 shares issued and outstanding
So that gives a total of 1.21M for Series A.
next comes 12% of the remaining available 10.8M is 1.3M.
"Second, the holders of the Common Stock will receive 12% of such available sale proceeds remaining after the Series A payment"
This will be distributed to the common Stock. So though there is 41M OS it depends on how many are really holding the shares now. which leaves that Minimum you will get at .032 per share if all the 41M share holders are available.IMO If not then it will be redistributed among the existing stock holders again which could be could be north of 10c. Looking at the way it traded today this could run big time tomorrow.
O/S stock. The difference between the O/S and the A/S has not been issued.
Question- when they settle this byEnd of Year will they take into consideration the AS or OS of common stock for the 12%
The pension plan administrator and investment manager said it has agreed to a non-binding deal to be sold for $48 million to an affiliate of Columbus-based private equity firm Stonehenge Partners Inc.

National Investment (OTC BB:NIVM) said as much as $36 million of the purchase price will go toward paying down debt and liabilities and to cover transaction expenses. The rest would be allocated to holders of common and preferred stock.
