On June 29, 2010, NewMarket Technology, Inc. ("the Company" or "NMKT") and its 90%-owned subsidiary, NewMarket Latin America, Inc. ("NMLA") entered into an Agreement and Plan of Merger ("Merger Agreement".)

NMLA has been a subsidiary of the Company since 2006. As of June 29, 2010, it has been merged into the Company. NMLA provides full service systems integration, customization and implementation for a variety of software and hardware products, as well as outsourcing services, primarily in Brazil, as further discussed below. The Merger was a statutory parent-subsidiary merger and the shareholders of NMLA (excluding the Company) are receiving an aggregate of approximately 4,197,500 shares of the Company, on a 1 share of common stock of the Company for each 100 shares of NMLA owned by a shareholder.

NMKT is one big costly disappointment. I've been holding it for over five years with the s/p always going south. When it finally looked like it couldn't go any lower, PV did a reverse split-something he told me in person he would never do-and the s/p started another freefall.

For anyone still holding shares of NLAI, in answer to an e-mail, Stasi at NMKT sent me this information. "As for NLAI, the LOI with WWSG signed earlier this year has moved to a binding LOI with a closing date of around Nov. 1. I would expect more details to be issued on the terms of the transaction and what it mean for NLAI investors soon." I'm not sure what it means, but I thought I'd post it for all to read.

A new SEC filing on 10/27/08 finishing out 2005. A little over 100 million shares listed as out. With NMKT owning 90% of company IF a 100 million shares out holds and isn't increased in 2006 that should be the float and if the company is doing 20 million this year the shares should be worth whatever a company doing 2 million a year in sales with a float of a 100 million shares. I don't know what that is, but I feel that it should be more than .0005 cents a share.

I talked to Staci, NLAI's, IR Friday afternoon and she said that they have hired a high power law firm that specializes in the problems they are having with getting shell companies cleaned up so the new company,NLAI, can get listed on the OB board. she said that she didn't know exactly when they would be submitting the needed information to the SEC, but that she checked for new SEC listing Friday seeing if anything new had been added. That told me that she is expecting something to happen any day. The old listings for the shell that cover the buy out of them by NMKT says that there are about 129,000,000 common shares outstanding with NMKT owning 90% of the company with prefered shares. Those common shares are what we are buying on the open market. If those numbers are anywhere close to correct, when this company gets fully reporting our shares have to go up in value. If NLAI's net worth turns out to be just $10,000,000, and I believe it could be more than that, the remaining 129 million common shares should be worth about .007 cents. I thought it would be interesting to take a count, so that we could see how many shares are owned by the posters on this board. I'll keep the running count as people post what they hold and post the totals for everyone to see. I'll start with my share count. 6,000,000 shares

NMKT has been going down ever since NLAI stopped trading. This has to be a top issue for the company right now as it is hurting NMKT as well. I bet when trading resumes they will have some serious Pr's explaining everthing and some serious PR's to gather interest in the stock. I feel they will have to do something pretty extreme to get this moving well again. We have had Pr's on Aug. 4,5,6,7,8,11,12,13 and 18th. When trading resumes we should have all sorts of news coming out. I hope it is enough. I suggested to the company via email that putting out in a PR the A/S, O/S share and float numbers helps an investor feel cozy inside. Also any mention of no dilution is a biggie to help the stock. Stasi appreciated the suggestions. Hopefully it gets to a written Pr Come Sept. Looks like 29th is the last day of trading halted.

I have found out some more – as I understand it, trading has been temporarily halted as a result of routine SEC review of delinquent filers. As you know, NLAI is on the pinksheets and, as with many other pinksheet companies, has no recent filings. In the SEC statement regarding the temporary trading suspension (see below), four additional companies (Pacific Gateway Exchange, Inc., Pallet Management Systems, Inc., Panco, Inc., and Patriot Motorcycle Corp.) were also listed and all were selected alphabetically, indicating their continuing, systematic action against trading but delinquent filers. NLAI was previously named Paragon Financial, so was reviewed along with other “Pa” companies. This SEC procedure focuses on companies delinquent in their SEC filings of 10Qs and 10ks.

Separately, former management of Paragon Financial has been in communication with the SEC in order to resolve outstanding issues for Paragon’s past filings. These communications have been with a different department at the SEC than is responsible for the routine review of delinquent filer companies. Regardless, per the suspension statement, the Company will be eligible for trading again after August 29th. NLAI current management intends to move the company back into reporting compliance and the trading suspension does not alter management’s intent to do so as soon as possible.

Most are saying more times than not thats what happens when a stock is halted like this. First time for me as I play the charts and bought some based on that and busting thru .0025. The IR was very responsive to my questions and I was impressed they even answered. They said they are moving forward with all their plans including uplisting. So who knows what will happen here. I never believe what the story so Im stuck here along with others and will see what happens when the suspension is lifted. It will not open at .0001 though u can bet on that.

Spoke with IR today they said they are moving forward to uplisting and that the filings have been held up from the previous company and the SEC is in touch with them now. The suspension will be lifted on the 29th. Will be interesting to watch it unfold but it will probaly go on the greys.
