On August 2, 2016 the Company entered into a library license agreement with Digicable Network India, Ltd. (“Digicable”) for the exclusive license of its digital library in India and the non-exclusive license within Digicable’s reach outside India for an initial two-year period commencing December 1, 2016, and automatically renewable for additional one-year periods thereafter unless otherwise terminated. The license anticipates the delivery of up to approximately 1,900 digital titles for broadcast by Digicable over the license period against a monthly license fee to the Company of US $0.04 cents, per Digicable subscriber, with a minimum monthly fixed floor of $ 400,000, less applicable Indian withholding taxes. Payment of Digicable’s license fees begin within 10 days after the end of the quarter in which the Company’s digital content is delivered, such that the first payment from Digicable is expected on or about March 10, 2017.

Global Entertainment HoldingsGlobal Entertainment Holdings Inc., a publicly-traded Company on the OTC, Symbol: GBHL, is engaged in the production of low-budget, high quality, genre pictures with recognizable name talent. Global Entertainment Holdings employs a financing strategy designed to significantly mitigate investment risk utilizing tax incentives, distribution advances and/or pre-sales, gap financing, economies of scale inherent in back-to-back film production and deferment of our production fees.

GBHL, the Parent Company, generates revenues through its subsidiary operations. U.S. operations are handled through two, wholly-owned subsidiaries: Global Universal Entertainment (GUE) is engaged in U.S. film production, and Global Universal Film Group (GUFG) manages distribution and sales representation of films worldwide for content produced by the subsidiaries, as well as by other filmmakers. Global Universal's CEO, Gary Rasmussen, has a long and extensive history of successfully organizing and developing companies in several different industries, including ventures in the motion picture business.

Daniel Crown, the former chief executive of Crown theaters, stated recently, "If you can find the right film executives, people who consider themselves fiduciaries more than producers, it's one of the best bets you can make right now." In this regard, Global Universal's Management Team is comprised of that "perfect blend" of film entrepreneurs, movie business executives and "hands-on" film producers. The Presidents of the Canadian and the U.S. production subsidiaries, Jackie Giroux and Peter Liapis respectively, have a lifetime of knowledge, tenacity and experience in writing, developing, producing and distributing motion pictures and television content.


What is Global Universal looking for?

Global Universal is looking for investors who will not only share in the dream of making feature films, but also share in the understanding of the "business" side of the ledger and be able to appreciate the financing strategy employed by Global Universal to significantly mitigate risk, while at the same time providing unlimited upside opportunity that can be realized in the film business. A film has a revenue generating "life span" which can become a source of ongoing financial worth to the company and its shareholders. In fact, if managed properly, it can generate income for the Company almost indefinitely.

Gary Rasmussen - CEO of Global Entertainment Holdings

Mr. Rasmussen has an extensive background spanning over 25 years as an entrepreneur with vast experience in all phases of business development, having been a founder, chief executive officer or director of several publicly-held corporations in the areas of cable television, investment banking, mortgage banking and motion pictures. He has extensive experience in raising debt and equity capital for both public and private enterprises, implementing short and long term business planning and strategic concepts, acquisitions and divestitures, and has played a leading role in spearheading several publicly held corporations from their inception through the capital raising stages.
 
 
Jackelyn Giroux - President of Global Universal Pictures

Ms. Giroux is the former President and C.E.O. of the publicly traded telecom company, FoneFriend Inc. Previous to FoneFriend, Ms. Giroux produced over ten films in the United States and Canada, where she assisted in Co Production film financing and production under the Co Production Treaty between Canada and Europe. Most recently she acquired twenty-one million dollars worth of Pre Certification Tax Certificates from the State of Louisiana, which she is presently using to negotiate a line of credit with a Baton Rouge bank via a Certificate of Deposit that is not pledged as collateral. Ms. Giroux currently has a partnership with Image in Media in Canada and Tel France to produce high quality, but low budget films, focusing on Tax Credits and Government Tax Incentive funding to minimize investor risk.

   
Daniel Sherkow - COO of Global Universal Entertainment

Daniel Sherkow, Chief Operating Officer of Global Universal Entertainment, straddles the worlds of media/entertainment and finance as a successful motion picture and television producer and former Series 7 licensed Registered Representative. He has advised numerous leading media entities such as the Korean animation company, Seoul Movie, and the China Film Group Corp., the official governmental agency of the People's Republic of China, in their negotiations with a major U.S. motion picture studio concerning an overall financing, production, and distribution arrangement for live action motion pictures.

After graduating from the University of Wisconsin/Milwaukee with a Bachelor's degree in Fine Arts (BFA)/Honors, Mr. Sherkow entered the Graduate School of Business Administration at Harvard University in Boston, Mass. where he earned an MBA.

Following stints at NBC Television and Time-Life Films, and then Vice President, Production at Paramount Pictures and Tri-Star Pictures, Mr. Sherkow produced the feature motion picture "SUSPECT," written by Eric Roth ("FORREST GUMP") and starring Cher, Dennis Quaid, and Liam Neeson. Mr. Sherkow then raised funding for and produced "AMERICAN BUILT"/"RACE FOR GLORY"; and "IMPROMPTU", which opened to universal acclaim and won the prestigious Houston WorldFest Award as "Audience Favorite". "IMPROMPTU", starring Judy Davis, Hugh Grant, Emma Thompson, Mandy Patinkin, Bernadette Peters and Julian Sands, marked the film directorial debut of noted Broadway stage director, Pulitzer Prize and Tony Award winner, James Lapine ("SUNDAY IN THE PARK WITH GEORGE"). Following its theatrical release and extraordinarily successful video/DVD distribution, "IMPROMPTU" was telecast on the prestigious Public Broadcasting System (PBS) show "Masterpiece Theatre".

Mr. Sherkow recently financed and produced the feature motion picture "BEING MICHAEL MADSEN", shot on location in Los Angeles, Connecticut and New York City, and starring Michael Madsen, Daryl Hannah, Harry Dean Stanton, Virginia Madsen, and David Carradine. "BEING MICHAEL MADSEN" was a featured official submission at the largest independent film festival in Europe, the Raindance Film Festival in London, and at the Starz Denver International Film Festival and San Francisco International Film Festival. "BEING MICHAEL MADSEN" was also selected to screen in the prestigious "Outside the Box (Office)" series at the USC School of Cinema in Los Angeles.

In television, Mr. Sherkow has produced the Made-For-TV-Movies "DONOR", starring Melissa Gilbert and Jack Scalia, as Executive Producer for CBS Entertainment; "ELVIS AND THE COLONEL: THE UNTOLD STORY", starring Beau Bridges for dick clark productions and NBC; and also served as Executive Producer for "ALL LIES END IN MURDER", starring Kim Delaney and Jamey Sheridan ("LAW AND ORDER: CRIMINAL INTENT"), for ABC-TV.

Broadway stage projects have included "AGNES OF GOD", starring Elizabeth Ashley and Amanda Plummer, "MY ONE AND ONLY", starring Twiggy and Tommy Tune, as well as "THE SLAB BOYS" with Sean Penn, Kevin Bacon, Val Kilmer, and Jackie Earle Haley, Jr., which Mr. Sherkow produced on behalf on Paramount Pictures.

In addition, Mr. Sherkow has advised several concerns such as the Hite Brewing Co., Ltd. of Korea for which he secured the services of well known actor George Clooney as spokesman.
 
Eric A. Leffler - V.P. Business Affairs of Global Universal Entertainment, Inc.

Born in Texas, Eric spent the majority of his formative years traveling the word as the son of an Army Officer, General Samuel A. Leffler. A graduate of George Mason University's business school, he holds a Bachelor of Science degree in Marketing. Prior to shifting his interest to the entertainment industry, Eric was the CEO and founder of Directional Sign Services; a sign company in which he formed when he was 17 years old. Eric grew Directional Sign Services to become the 3rd largest sign company on the East Coast, at one point operating in Eight States. He has subsequently founded a number of construction companies operating in New Jersey, Colorado and Iowa. In addition, he recently oversaw the development, construction and management one of North America's largest swine raising facilities for Cargill and is also currently seated as President of The Daniel D. Tompkins Foundation, Inc. a 501(c)(3) benefitting the arts and education. Eric has a wealth of divergent experiences that he brings with him to Global Universal along with his talents as both a producer and actor.

A few of Eric's notable producing credits include 250 Episodes for "Fairfax Magazine", a Virginia Based Television Cable show. He has also produced numerous marketing videos ad industrials. Eric has produced "The Glenn Miller Gala", a live musical event in NYC along with other gala charity events. He has also produced a number of off Broadway productions including "SOHO BOXES", "CHAIRMAN OF THE BOARD" and "LINE". He has unaccredited production work on several feature films such as, "THE VICIOUS CIRCLE", "RED PASSPORT", and "UNSAVORY CHARACTERS". He recently served as Executive Producer for "AMERICAN SUNSET", starring Frank Molina and Corey Haim in his last leading role.

His film credits as an actor include over 25 feature films, a few notables are "AMERICAN SUNSET", "DEATH WITHOUT CONSENT", "ALL THE WRONG PLACES", "THE VICIOUS CIRCLE", "LBS", "STONE COLD KILLERS", "UNSAVORTY CHARACTERS", "RUM AND COKE", "CLOSE UP", "THUMB", "PERFECT LIES" and "THE INVISIBLE". Fluent in German, Eric has done voice-overs for German companies along with national product spots and endorsements. Trained at Lee Strasberg and The Actor's Studio along with Uta Hagen, he has subsequently performed on stage in many off Broadway productions, The Lincoln Center and at The Kennedy Center.

Eric is delighted to be a part of the Global team and will bring a strong off camera as well as one camera presence to Global's film productions.

 
Stanley Weiner

Stanley Weiner - CFO & Director of Global Entertainment Holdings

Mr. Weiner has more than 35 years experience creating and running a multitude of different businesses. Mr. Weiner was the founding officer of Gemini Financial Corporation, a NASD Broker / Dealer from 1970 through 1975, was President of APA, Real Estate Syndication Company from 1975 through 1978, was Managing Partner of Agri-World Partnership from 1978 through 1983 - an agricultural project syndication company with offices throughout Europe and the Middle East. Mr. Weiner was a Founding Officer / President of Regent Properties from 1985 through 1990, and Chief Executive Officer of Wise Industries from 1990 through 1993 - a company specializing in pollution control devices. He has served as Vice President of Finance for Global Entertainment Holdings since December 2000 and been a Director of the Company since October 2003. Mr. Weiner received his Bachelor of Arts degrees in both Psychology and Economics from California State University at Long Beach in 1966. Mr. Weiner has in the past held a National Association of Securities Dealers Principals license and is a licensed Real Estate Broker. Mr. Weiner is not an officer or director of any other reporting company.   
 
Terry Gabby - Controller of Global Entertainment Holdings

Mr. Gabby has served as Chief Financial Officer and Treasurer of the Company since July 1, 2005 (prior to the change in control and name change to Global Entertainment Holdings). Mr. Gabby has over 30 years' experience in executive management, auditing and finance. As the senior auditor for a regional audit firm, Seidman & Seidman CPA's, he was the senior in charge of audits for several publicly held companies in the casino and manufacturing industries. The past seven years, Mr. Gabby has held the executive positions of Chief Financial Officer and Controller for several large tribal gaming enterprises located in several state jurisdictions. Mr. Gabby earned his Bachelor of Science degree in accounting from the University of Nevada, Las Vegas College of Business Administration in 1973.
 
 
Virginia Perfili - Director of Global Entertainment Holdings

As a writer, director, and producer of several feature-length films, many music videos, and a TV show pilot, Ms. Perfili has been in the entertainment industry for the past 25 years. In 1984, she co-founded and served as President of Orphan, Inc., a publicly held, entertainment company that started as a small Detroit-based, independent record label. In 1990 her Company joined forces with Gary Rasmussen (currently CEO of Global Entertainment Holdings) and together they produced, "Mirror Mirror" and "Mirror Mirror 2: Raven Dance. Both films enjoyed theatrical, cable, Pay-Per-View, TV broadcast, VHS, DVD, and Laser Disc releases. In 1995, Ms. Perfili directed Mirror, Mirror III: The Voyeur and from 2000 through to the present she has been actively involved as a producer and consultant in the entertainment industry. In 2006 she organized Freelance Filmworks, LLC., and served as Executive Producer of its current feature film, tentatively entitled "ROUNDS", which is presently in post production.
 
 
Arthur Wylie - Co-CEO of Global Renaissance Funding LLC  

Currently the Arthur Wylie brand is one of the hottest celebrity entrepreneur brands in the country. His ventures started out of his dorm room and he gained millionaire status by the time he was 26. Wylie is the founder and CEO of Arthur Wylie Enterprises which has overseen $475 million in assets, transactions, insurance, intellectual properties and real estate over the past 11 years. His current projects are in film development, business investment, speaking engagements, celebrity events, publishing, and real estate ventures internationally.  
 
 
Dale Goldboldo V.P. M & A of Global Renaissance Funding, LLC.


Mr. Godboldo, also producer / president of USL Films, has been instrumental in structuring the distribution and/or financing for projects with combined budgets in excess of $50,000,000. Since 1994, Mr. Godboldo has developed, managed and provided consultancy for numerous "A" list artists and production/distribution companies. Some of those include Music Supervision for FOX (Emmy Magazine's "Composer to Watch"), production/promotions for The Billboard Awards & Clear Channel's Radio Music Awards on FOX (Vegas Magazine's "Promoter of the Year"), marketing/distribution of music via Warner Elektra Atlantic (supported by Kevin Costner, Ryan Seacrest, Justin Timberlake and JC Chasez of MTV's America's Best Dance Crew & NSYNC), consultation for Polychrome Pictures, consultation for a Universal Music Group Television series in development, and overseeing OME / OneOne77's multi-media designers, whose clients include Universal Music Group (Eminem) and Lockheed Martin, as well as films like "The Matrix," "Chicken Run," and "The Patriot."

Global Entertainment Holdings also has 3.9 million shares of Series "B" preferred stock, convertible one-for-one into common stock and 6.5 million shares of Series "C" convertible, as a whole class, into 60% of the total number of outstanding shares of common stock calculated immediately after conversion.
