I had several stocks for GSE when it was doing good, I did not check that from long time, now its down to penny, what happens to my stock when they went for bankrupcy.... Will I still have stock or it will dissolve to nothing.

March 2014 will be an interesting month for GSE...earnings announced the week of March 10th...possible news of sale prior to March 30th deadline...stay tuned folks! Plan to add to my position on down days. Goodluck everyone!

Shorts have been covering over past several weeks. Was 390k shares, 356k, and now 233k shares short.
Agreed. Why would they create a bonus plan for selling the company if they didn't have a high possibility of a sell. I also agree that the buyout will be higher than current pps.
By the looks of the 8-K filed today they are possibly going through with the sale of the Company...any thoughts on the buyout price? IMO I think the pps is trading at a discount to what the buyout price is going to be.

Item 5.02 - Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
Effective as of February 12, 2014, the Board of Directors of GSE Holding, Inc. (the "Company") approved an incentive plan (the "Incentive Plan") for its officers designed to preserve and enhance the financial condition of the Company and to sell the Company in accordance with the seventh amendment to the Company's first lien credit facility as disclosed in the Company's Form 8-K dated January 10, 2014 and filed with the Securities and Exchange Commission on January 10, 2014.
The Company formulated the Incentive Plan based on advice from Alvarez & Marsal and Kirkland & Ellis LLP, the Company's advisors.
The Incentive Plan covers eight of the Company's nine officers (the "Plan Participants") and provides an opportunity to earn a "Bonus" upon the closing of a sale (a "Sale") of the Company or in the event of a recapitalization of the Company (a "Recapitalization"). The Company's President and CEO is not participating in the Incentive Plan.
In the case of a Sale or Recapitalization, a Plan Participant's bonus amount (the "Target Bonus") will be 98% of the mid-point of the officer's standard annual short term incentive bonus opportunity. For example, if an officer has a base salary of $200,000 and a standard annual short term incentive bonus opportunity of 30% - 60% of base salary, the midpoint would be 45% of $200,000. The Target Bonus for such officer in the event of a Sale or Recapitalization would be 98% of the product of (i) 0.45, and (ii) $200,000 for a total of $88,200.
The Plan Participants have an opportunity to earn an additional bonus equal to one third of the Target Bonus under certain circumstances. The Target Bonus amounts for the named executive officers range from 44% to 73% of such officers' base salaries.
Bonuses under the Incentive will be paid in cash lump sums at the time the Sale or a Recapitalization is completed. A Plan Participant will forfeit any bonus under the Incentive Plan in the event his employment is voluntarily terminated by the Plan Participant or terminated by the Company for cause.
The Incentive Plan has an estimated cost ranging from $1.0 million to $1.3 million.
No other cash incentive bonuses for fiscal years 2013 or 2014 will be paid to any named executive officer other than pursuant to the Incentive Plan.

Should be interesting to see where the dust settles today. Might be worth picking up some more shares at this level. Any technical people on this board want to weigh in?
I charted all of the stocks these guys are "investigating" and all but a few went up quite significantly just days after the pr..or the same day. Those few that didn't jump up stayed flat. 5 of the several that went up gapped higher after their pr.

GSE appears to be setting up for a Pincher Play. The PPO and the DMI(adx) are sqeezing. If the RSI moves above 30 it could break out. I personally do not like the setup - because the drop in price was so sudden and low volume - but the potential exists. Hope that helps.

In the next month or two GSE's share price will move, the direction it will move really is the question.
Depending on the sale I could see it anywhere from .20 - 2.50.
Personally I have a small position that I plan on holding for the short term. If we get positive news on a sale my position will change.
The following excerpt from Moody's seems to be the most telling in regards of both scenarios.
"The required sale in the current challenging operating conditions lowers our recovery expectations.
The short time frame (letters of interest must be submitted by February 21 and the sale must be completed by March 31, 2014) could lead to lower bids than one without the time pressure.
Still, the company is the leading global supplier of geo-synthetic liners used in a mix of end markets, including solid waste landfills, coal burning power plants, mining, hydraulic fracturing, and others. The company's sales are well diversified globally, particularly for a company of this scale."
