Kustom Entertainment has entered into a definitive Unit Purchase Agreement to acquire all outstanding equity interests in TFL, positioning the transaction as a major expansion of its live entertainment and ticketing operations.
TFL, founded as Tickets For Less, generated more than $238 million in revenue in 2025. Kustom describes the business as historically profitable and cash-generative, with a high-margin inventory distribution model spanning live entertainment and professional and collegiate sports.
The acquisition would combine TFL’s proprietary distribution infrastructure and eCommerce capabilities with Kustom’s existing festival production and ticketing assets.
TFL’s technology already powers TicketSmarter.com, which is part of Kustom. Following the acquisition, Kustom intends to integrate that technology more broadly across its festival portfolio, targeting distribution, dynamic pricing and cross-selling opportunities.
The consideration will consist of cash and Kustom common shares, with some of the equity consideration withheld until future EBITDA performance milestones are achieved. The company did not disclose the total transaction value or the precise cash-and-stock mix.
The proposed TFL acquisition could materially change the scale and composition of Kustom’s business.
The most significant disclosed figure is TFL’s more than $238 million of 2025 revenue. Kustom expects the transaction to contribute immediately to revenue, earnings and adjusted EBITDA, potentially giving the company a substantially larger operating base if the acquisition closes as planned.
Strategically, the deal would also broaden Kustom’s exposure beyond its existing live music festival operations. TFL maintains relationships across professional sports, collegiate athletics and venues, giving Kustom access to additional parts of the live-event economy.
Technology integration represents another potential source of value. Because TFL’s eCommerce platform already powers Kustom-owned TicketSmarter.com, the businesses have an existing operational connection that could support wider integration across Kustom’s festival assets.
There are still important execution considerations. Financing is a specified closing condition, and the cash component of the purchase price has not been disclosed. Without a total acquisition value or financing structure, investors cannot yet fully assess the transaction’s funding requirements or potential dilution from the stock consideration.
The EBITDA-linked share holdback provides some alignment between consideration and future operating performance, but the release does not disclose the relevant EBITDA targets.
The primary catalyst is completion of the acquisition, with financing and regulatory consent among the remaining conditions.
Investors may also watch for disclosure of the total purchase price, funding structure, number of Kustom shares involved and the EBITDA milestones attached to the contingent equity consideration.
If the transaction closes, TFL’s contribution to Kustom’s consolidated revenue, earnings, adjusted EBITDA and cash flow will become key measures of whether the acquisition delivers the immediate financial accretion management expects.
