More than 900 million shares set to become eligible for trading

SpaceX (NASDAQ:SPCX) is preparing for one of the largest lock-up expirations in recent market history, with approximately 911.5 million shares worth around $116 billion scheduled to become eligible for trading on August 6.

The company confirmed on Tuesday that it will publish its second-quarter financial results on August 4, marking its first earnings report since listing on Wall Street. Two days later, lock-up restrictions affecting early investors, executives and other insiders will begin to expire.

Under certain conditions, a further 455.8 million shares could also become available for trading. However, shares held by Elon Musk and a select group of insiders will remain locked until the middle of 2027.

Alternative lock-up structure aims to limit market disruption

While most newly listed companies impose a standard 180-day restriction on insider share sales following an initial public offering, SpaceX and its underwriting banks opted for a different approach because of the company’s size and shareholder base.

The structure was designed to increase the number of shares available to investors over time while seeking to avoid major disruptions to normal market supply and demand.

Shares remain well below post-IPO highs

SpaceX shares ended Tuesday’s session 3% higher at $123.54, snapping a seven-session losing streak. Even after the rebound, the stock remains below its IPO price of $135.

The shares have fallen nearly 50% from the intraday record of $225.64 reached on June 16 and are down 43% from the highest closing price of $211.39 recorded the same day.

Wall Street sentiment remains broadly positive. Of the 33 analysts covering the company, 27 recommend either a strong buy or buy rating, while five suggest holding the stock and one recommends selling. The median price target stands at $226, implying approximately 77% upside from current levels.

According to Forbes’ Real-Time Billionaires Index, Elon Musk’s estimated net worth stood at roughly $786 billion as of Tuesday, after exceeding $1 trillion on June 12.

Starship test flight rescheduled for July 24

SpaceX has also confirmed a new launch date for the 13th suborbital test flight of Starship, which is now scheduled for July 24 at 00:45 Italian time from the company’s Starbase facility in Texas.

The previous launch attempt on July 17 was called off at liftoff after several Raptor engines failed to perform as expected. Musk later announced on social media platform X that the affected engines would be replaced.

The upcoming mission is expected to evaluate a series of hardware and software upgrades across both stages of the launch system, including the Super Heavy booster and the Starship spacecraft, which is ultimately intended to carry astronauts on future missions.

Mission objectives include completing every major phase of the flight successfully, including liftoff, ascent, stage separation, booster reentry and a controlled splashdown.

I would buy SPCX at $10. As long as they stay in business. It will be all up from there. At $50 is still risky during the crash the fatest pigs get slaughtered first. SPCX is indeed a fat pig now. The ETFs will panic sell because they cannot afford to hold a seriously loosing stock during an extended market crash.

True. but Paul Mampilly claims it feels like 1987 all over again because the Koreans banks are closing down and losing 30%+. The entire world economy is about to implode according to Paul. Paul was right about AMD at $30 when I daytraded it. He said its going to Moon. Now its on the moon in price at $503. Paul says SPCX is a very risky stock that has more losses than wins in the near future for shareholders. Unless if you plan on holding the SPCX shares for at least 7 years to make you any serius profits.

I totally agree with Paul. Go watch his video he outlines all of this madness in a very credible manner.

OR... are they going to hold the line at $140 firm to keep their last week gains locked and wait to gobble up new shares and average up?

...personally i think this holds $140 today and finishes green, but expecting to see the 130s sometime next week before we see 160.... if we see $130s today i'll add depending on movement.

IH Market News Alphabet (NASDAQ:GOOG) has generated an extraordinary paper return from its early investment in SpaceX (NASDAQ:SPCX), with its disclosed holding valued at approximately $94 billion at the end of June, more than 100 times the $900 million the Google parent invested in Elon Musk’s space company in 2015. Following SpaceX’s $86 billion initial public offering in June, Alphabet has emerged as the company’s largest individual institutional shareholder by a wide margin, according to a Reuters analysis of regulatory filings released so far. The disclosures provide greater visibility into the positions accumulated by major SpaceX investors as the company transitioned from a privately held business into a publicly traded company. They also illustrate the enormous gains generated for some investors that backed SpaceX years before its IPO. Regulatory filings reveal scale of Alphabet’s SpaceX stake Institutional investment data reported through 13F filings is compiled quarterly and generally becomes public within six weeks after the end of each quarter. That means the figures provide only a snapshot of holdings as of June 30 and do not reflect transactions completed by investors since then. There are additional complications surrounding SpaceX because some investors acquired their positions before the IPO and may face different restrictions governing when those shares can be sold. “It’s very, very difficult to tease out which of these institutions were holding pre-IPO shares,” Interactive Brokers market strategist Steve Sosnick said. Alphabet is an important exception because it publicly disclosed its original $900 million SpaceX investment in 2015, providing a clear reference point for measuring the dramatic appreciation of its position. Alphabet did not immediately respond to a request for comment. Sosnick also noted that 13F filings provide no information about individual investors’ lockup arrangements or whether they intend to realise gains on positions accumulated before the IPO. Alphabet held more than 551 million SpaceX shares Alphabet reported owning 551.2 million SpaceX shares at the end of the second quarter. At SpaceX’s June 30 closing price of $170.86, that position was worth approximately $94.2 billion, representing more than 100 times Alphabet’s original investment. SpaceX has subsequently retreated from its late-June level. Based on Wednesday’s share price, Alphabet’s disclosed position would have been valued at around $81.8 billion. Even after that decline, the stake remains approximately 90 times larger than Google’s initial $900 million investment. Alphabet dominates institutional ownership Alphabet’s position is substantially larger than those reported by other major institutional investors in SpaceX. Gigafund Management ranked a distant second with 171.8 million shares, followed by Baillie Gifford with 51.4 million shares and BlackRock with 51 million. Ontario Teachers’ Pension Plan reported a position of 50.7 million shares. Together, these investors and Alphabet accounted for the majority of SpaceX shares disclosed through 13F reports filed by Thursday afternoon and analysed by Reuters. The figures indicate that reported institutional ownership of SpaceX remains heavily concentrated among a relatively small number of major investors. SpaceX remains above its IPO price SpaceX entered the public market on June 12 at $135 per share. The stock subsequently climbed sharply before retreating from its June 30 level. Shares closed Wednesday at $146.15, leaving them approximately 8.3% above the IPO price but 14% below their June 30 close. Despite the volatility, investor interest in the company remains substantial. Sosnick told Reuters that SpaceX continues to rank among the most actively traded shares among Interactive Brokers customers, receiving a “fresh jolt of buying last week when market fears about what would happen when the first lockup expiry arrived proved to be unfounded.” The comments suggest concerns that the expiration of restrictions on some shareholders could trigger heavy selling failed to materialise to the extent investors had feared. Retail investors turn net sellers Retail trading patterns have recently shown some signs of changing. Individual investors, who are not required to disclose their positions to the U.S. Securities and Exchange Commission in the same way as institutional managers, became net sellers of SpaceX shares on Friday for the first time since the company’s IPO, according to Vanda Research. The research firm estimated that self-directed retail investors sold a net $4.5 million of SpaceX stock during the session. SpaceX shares subsequently fell 3% on Thursday, although the stock has still advanced around 30% since August 5. For Alphabet, even substantial fluctuations in SpaceX’s public-market valuation leave its original investment showing an enormous paper gain. The increase from a $900 million investment in 2015 to a position valued at as much as $94.2 billion at the end of June demonstrates the scale of value created by one of Alphabet’s most successful strategic investments.
