My understanding of the motivation for this move is somewhat different. Ackman is unlikely to have needed to 'borrow money' for such a purchase. Rather, he needed to 'borrow a purchaser,' as increasing his explicit ownership over 10% could have put FnF's NOLs in jeopardy, which obviously would not be good for investors.
